NO PURCHASE OR TRADE IS NECESSARY TO ENTER OR WIN. A free Alternative Method of Entry is available (see Section 4.2). Each entry, whether earned by trading or by the free method, has the same chance of winning. By entering, you agree to be bound by these Official Rules and by the decisions of Kraken, which are final.

Translations. These Official Rules are written in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and a translation, the English version shall prevail.

1. Sponsor. The sponsor of this Promotion is Tulip HoldCo Ltd. (Company number 2121376), 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands. In these Official Rules, “Kraken” means the sponsor and its affiliates.

Rewards under this Promotion will be paid by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf.

Kraken products and services are provided by the Kraken entity that contracts with you, as described in the Kraken Terms of Service applicable to you. Participants in the European Economic Area are clients of Payward Europe Solutions Limited, regulated by the Central Bank of Ireland. Participants in the United States are clients of Payward Interactive, Inc. Services available vary by jurisdiction.

2. Eligible Areas. The Promotion is open to eligible customers residing in the European Economic Area (“EEA”) (excluding Poland and Norway), the United States (excluding Maine, New York, Washington, Florida and Puerto Rico), and other jurisdictions where Kraken services are available. Residents of the United Kingdom, Canada and Switzerland are not eligible to participate. Void where prohibited.

3. Promotion Period. The Promotion runs from 14:00:00 UTC on 9 November 2026 to 23:59:59 UTC on 29 November 2026 (the “Promotion Period”). There will be one (1) draw (the “Draw”), which Kraken will conduct within seven (7) days after the end of the Promotion Period, and in any event no later than 23:59:59 UTC on 6 December 2026.

4. How to Enter.
 4.1 Entry by Qualifying Trades.

• (a) Opt in to the Promotion via the Rewards Hub in the Kraken app or on kraken.com during the Promotion Period. Only Qualifying Trades completed after you opt in count.
• (b) After opting in, complete one or more Qualifying Trades during the Promotion Period. For every USD 1 of Qualifying Trades (or its equivalent in the currency of the trade, converted at Kraken’s rate at the time of the trade), you receive one (1) entry into the Draw. Fractions are rounded down.
• (c) A “Qualifying Trade” is a completed spot cryptoasset trade on Kraken (Kraken app, Kraken Pro or kraken.com). Margin, futures and derivatives trading, equity-linked products, trades in stablecoin pairs (any pair with a stablecoin on either side), staking and earn activity, and any trade that is cancelled, reversed or unsettled do not count.
• (d) The maximum number of entries any one person may accumulate during the Promotion Period is 1,000,000, from all entry methods combined (the “Maximum Entries”).

4.2 Free Alternative Method of Entry (AMOE). No trade or purchase is necessary. To enter without trading, visit https://swpp.me/a/thfcsweeps091126, complete the entry form (name, email address, country and state of residence), and confirm you meet the eligibility requirements. A Kraken account is not required to enter; a Kraken account is required only to receive a Prize (see Section 7). Limit one (1) free request per person for the whole Promotion Period. Each valid free request receives ten (10) entries into the Draw. Free requests must be submitted before the Promotion Period ends. Each entry, whether earned by Qualifying Trades or by the free method, has the same chance of winning. Entries submitted by automated means, scripts or bots, or by anyone other than the individual entrant, are void.

4.3 General. Each person may use one Kraken account and may not enter on behalf of anyone else. Entries are not transferable.

5. Winner Selection. Kraken will conduct the Draw on the timeline in Section 3. Three (3) winners will be selected by random drawing by Kraken from all eligible entries (trade-based and AMOE combined) received during the Promotion Period. Odds of winning depend on the number of eligible entries received. A person may win only one Prize during the Promotion Period. If a selected entrant is ineligible or disqualified, Kraken may draw an alternate winner.

6. Prize. There are three (3) Prizes (also referred to as “Rewards”), each awarded to a separate winner in the Draw. Each Prize consists of:

• (a) USD 500 worth of Bitcoin (BTC), valued at Kraken’s BTC/USD rate when credited to the winner’s Kraken account; and
• (b) one (1) signed Tottenham Hotspur replica shirt (approximate retail value GBP 90.00).

Total value of all Prizes: USD 1,500 in BTC plus three shirts (approximate total retail value GBP 270.00). Prizes are non-transferable and have no cash alternative. The BTC value may change after crediting, and Kraken makes no guarantee of its value. Signatures, sizes and design are determined by Kraken. Kraken may substitute any Prize component with an item or asset of equal or greater value if it is unavailable or cannot be delivered.

7. Kraken Account and KYC.

• 7.1 A Kraken account is required to enter through Qualifying Trades. No account is required to enter through the AMOE.
• 7.2 Account and KYC requirements apply only to receiving a Prize, not to entering or qualifying. To receive a Prize, a winner must, before prize fulfilment and within the Claim Period in Section 10, have (a) a Kraken account in good standing and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law in the winner’s jurisdiction. A winner who does not yet hold a Kraken account may open one and complete verification within the Claim Period.
• 7.3 If a winner does not satisfy these requirements within the Claim Period, the Prize is forfeited and Kraken may draw an alternate winner.

8. Eligibility. To be eligible you must: reside in an eligible area under Section 2; be at least 18 years old (or the age of majority where you live, if higher); not be an employee of Kraken or its affiliates or agencies, or a member of their immediate households; not be ineligible to participate under applicable law or sanctions; and agree to these Official Rules and the Kraken Terms of Service applicable to you.

9. Disqualification. Kraken may disqualify any entrant who: provides false information; uses multiple accounts, multiple free requests or another person’s identity; uses bots, scripts or automation; engages in wash trading or artificial trading volume; misrepresents their location (including by VPN); or otherwise tampers with or circumvents the Promotion. Kraken’s decisions on disqualification are final.

10. Winner Notification and Prize Fulfilment. Kraken will attempt to notify each winner by email to the address on their Kraken account or AMOE entry within five (5) business days after the Draw. The winner has 30 days from notification (the “Claim Period”) to respond, satisfy Section 7 and provide delivery details. BTC will be credited to the winner’s Kraken account within 30 days after verification, and the shirt will be shipped within 60 days after verification. A winner who does not respond, cannot be reached, or does not satisfy Section 7 within the Claim Period forfeits the Prize, and Kraken may draw an alternate winner. Winners are responsible for any customs, import duties or delivery-related charges. Kraken may announce winners by first name and country, to the extent permitted by law.

11. Consents and Data. By entering, you consent to Kraken processing your personal data to administer the Promotion, in accordance with Kraken’s Privacy Notice (available via https://www.kraken.com/legal). You consent to Kraken contacting you about the Promotion. Kraken may share your data with service providers who help administer the Promotion, including the AMOE provider and delivery providers. Entry does not constitute consent to receive marketing communications; any such consent is separate.

12. Disclaimers. Kraken is not responsible for late, lost, incomplete or misdirected entries, platform outages, technical failures, or events beyond its reasonable control (force majeure). Kraken may cancel or modify the Promotion if such events affect its fairness or integrity. This Promotion is not investment advice or a recommendation to trade. Trading cryptoassets involves risk, including loss of funds. Tottenham Hotspur and related names, crests, logos and marks are trademarks of their respective owners and are used under license pursuant to Kraken’s partnership agreement with Tottenham Hotspur Football Club.

13. Limitation of Liability, Disputes, and Governing Law.
 By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability (“Claims”) arising from or related to your participation in this Promotion or your receipt or use of any Reward, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

You also release Tottenham Hotspur Football Club and its affiliates, officers, directors, players, employees and agents from any Claims arising from or related to your participation in this Promotion or your receipt or use of a Prize.

14. Taxes. Winners are solely responsible for all taxes on a Prize. Kraken does not provide tax advice. Kraken may require tax information from winners and may report Prizes to tax authorities as required by law, including by issuing IRS Form 1099 to US winners where applicable.

15. General Terms. Kraken may modify, suspend or terminate the Promotion, in whole or in part, at any time, at its sole discretion. Kraken’s decisions on all matters relating to the Promotion are final. If any provision of these Official Rules is held unenforceable, the remainder stays in effect.
