Kraken 15th Anniversary Sweepstakes

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. NO PURCHASE, PAYMENT, OR FUNDING NECESSARY TO PARTICIPATE OR WIN.

1. Sponsor

This Promotion (the “Promotion”) is sponsored by Tulip HoldCo Ltd., located at 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (the “Sponsor”, also referred to herein as “Kraken”).

2. Eligible Areas

The Promotion is open to eligible customers residing in the European Economic Area (“EEA”), the United States (excluding Maine, New York, Florida, Rhode Island, and Puerto Rico), Canada (excluding Quebec), and other jurisdictions where Kraken services are available (the “Eligible Areas”). Residents of the United Kingdom are not eligible to participate. Void where prohibited.

3. Promotion Period

The Promotion begins on 5 August 2026 at 13:59 UTC and ends on 31 August 2026 at 13:59 UTC (the “Promotion Period”). Only eligible trading activity completed during the Promotion Period, after enrollment, will count toward entries.

4. How to Participate / Qualifying Activity

(A) Trade-Based Entry. To participate through trading, eligible customers must first enroll in the Promotion by tapping the enroll button for this Promotion on the Kraken mobile app, the Kraken Pro mobile app, or the Kraken Pro web app. Trades completed before enrollment will not count toward entries. Entries earned on any of these surfaces accrue to a single combined entry pool, and one draw will be held.

Entry rate: every USD $1.00 (or equivalent amount in another currency) of eligible trading volume executed after enrollment and during the Promotion Period earns one (1) entry into the prize draw. For purposes of this Promotion, trading means buying, selling, or converting.

Eligible trading activity includes:

Spot trading
PTL / Instant trades

The following activity does not count toward entries:

Fiat-to-stablecoin and stablecoin-to-fiat trades
Stablecoin-to-stablecoin trades
Trades of xStocks, Stocks, and Bundles
Leveraged trading on Futures / Derivatives or Margin

Availability of products and services varies based on geo.

(B) Free Alternative Method of Entry (AMOE). No purchase or trade is necessary to enter or win. A free alternative method of entry is available via Sweeppea at https://swpp.me/a/k15yrsweeps26. Each valid AMOE submission earns ten (10) entries. Limit one (1) AMOE submission per person. Every entry, however obtained, has an equal chance of being selected in the random draw, and AMOE entries are treated equally with trade-based entries.

Entry cap: the maximum number of entries a participant may earn is 1,000,000 (one million), combining trade-based entries and AMOE entries.

5. Determination of Winners

This is a sweepstakes promotion. Fifteen (15) winners will be selected by random draw conducted by the Sponsor from all eligible entries received during the Promotion Period. Odds of winning depend on the total number of eligible entries received. Limit one (1) prize per participant.

Except as set out in Section 7A (Canadian residents) and Section 9 (winners who do not yet hold a Kraken account), no action or response is required from a winner to claim a prize. Prizes will be credited directly to the winner's Kraken account.

If a selected winner is ineligible, disqualified, or fails to satisfy the requirements of these Official Rules, the prize may be forfeited and the Sponsor may, in its sole discretion, conduct an alternate drawing from the remaining eligible entries.

6. Prizes

A total of fifteen (15) prizes will be awarded. Each winner will receive fifteen (15) Ether (ETH), credited at the prevailing market rate at the time of award. Approximate Retail Value (“ARV”) per prize: USD $27,840, based on the ETH/USD market rate as of 4 August 2026; total ARV: USD $417,600. ARV is subject to market fluctuation, and the value of any prize may increase or decrease between the date of award and the date of withdrawal.

Prizes will be delivered in ETH to the winner's Kraken account. Prizes are non-transferable and may not be substituted or exchanged, except at the Sponsor's sole discretion for a prize of equal or greater value.

7. Eligibility to Participate

You are eligible to participate in this Promotion if, at the time of entry and throughout the Promotion Period, you:

Reside in an Eligible Area as defined in Section 2;
Are at least 18 years of age (or the age of majority in your jurisdiction, if higher);
Agree to the Kraken.com Terms of Service;
Agree to these Official Rules and meet and comply with any and all applicable requirements herein;
Are not a Kraken Related Party (as defined below); and
Are not otherwise ineligible to participate under the Kraken.com Terms of Service, these Official Rules, or applicable law.

A Kraken account is required to enter through trading under Section 4(A), but is not required to enter through the free alternative method of entry under Section 4(B). A Kraken account is required only to receive a prize, as described in Section 9.

You are not eligible to participate in the Promotion if you are (A) a Kraken employee, officer, director, manager, agent, consultant, or representative; (B) a family member of, or live with, any of the foregoing; (C) a Kraken corporate partner, division, subsidiary, affiliate, or successor in interest; or (D) an advertising, promotion, or public relations agency of any of the foregoing (each a “Kraken Related Party”). For the purposes of the Promotion, family members are defined as spouse, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children, and grandchildren (including “step” as they may apply).

By submitting your entry, you represent and warrant that you meet, and will continue to meet throughout the Promotion Period, each of the above criteria.

7A. Skill-Testing Question (Canadian Residents)

Where a selected winner is a resident of Canada, crediting of the prize will be paused and the winner must first correctly answer, unaided and within a limited time, a mathematical skill-testing question administered by the Sponsor or its designee. The prize will be credited only after the skill-testing question has been answered correctly. If the winner fails to answer the skill-testing question correctly, the prize will be forfeited and the Sponsor may conduct an alternate drawing from the remaining eligible entries.

8. Disqualification

The Sponsor reserves the right to disqualify any participant who:

Engages in wash trading, self-funding, self-dealing, or any other artificial inflation of trading volume;
Uses a VPN, proxy, or other means to circumvent geographic restrictions;
Operates multiple Kraken accounts or duplicate accounts in connection with this Promotion;
Uses bots, scripts, or other automated means to enter or to generate entries;
Provides false, misleading, or inaccurate information in connection with participation or a prize claim; or
Resides in a jurisdiction not included in the Eligible Areas, regardless of how access was obtained.

Participants found to be resident in an ineligible jurisdiction are subject to prize clawback. The Sponsor's determination on disqualification is final.

9. Winner Notification and Prize Fulfillment

Winners will be selected by random draw conducted by the Sponsor following the close of the Promotion Period on 31 August 2026 at 13:59 UTC. Prizes will be credited directly to winners' Kraken accounts within fourteen (14) days of the draw, except where these Official Rules provide otherwise (including Section 7A for Canadian residents).

To receive a prize, a winner must, before prize fulfillment, have: (a) a Kraken account in good standing; and (b) completed at least Intermediate verification, plus any additional verification required by Kraken or applicable law in the winner's jurisdiction.

If a selected winner entered via the alternative method of entry and does not hold a Kraken account, the winner will be notified using the contact details provided with their AMOE submission and must open a Kraken account and complete the verification described above within thirty (30) days of notification. If the winner does not respond or does not complete these steps within that period, the prize may be forfeited and the Sponsor may conduct an alternate drawing from the remaining eligible entries.

If a selected winner's account is closed, suspended, or otherwise ineligible at the time of crediting, the prize may be forfeited and the Sponsor may conduct an alternate drawing from the remaining eligible entries. There is no withdrawal hold on prizes, except that crediting of prizes to Canadian residents is subject to Section 7A.

10. Consents and Approvals; Data and Privacy

By entering the Promotion, you agree that any content and any other information submitted by you or collected by Kraken in connection with the Promotion may be used by Kraken, including its affiliated business entities. You consent to communications from Kraken strictly necessary for administration of this Promotion and your Kraken account. Where required by applicable law (including for participants in the European Economic Area), consent to receive marketing communications from Kraken is separate from participation in this Promotion and will be sought through a separate opt-in mechanism. Participation in this Promotion does not constitute consent to receive marketing communications. You give consent for Kraken and its agents to obtain and deliver your name, address, and other information to third parties for the purpose of administering this Promotion and complying with applicable laws, regulations, and rules.

YOU FURTHER ACKNOWLEDGE THAT IF YOU ARE A WINNER, YOUR IDENTIFYING INFORMATION, INCLUDING BUT NOT LIMITED TO YOUR NAME AND ADDRESS, MAY BE DISCLOSED TO THIRD PARTIES TO FACILITATE THE PROMOTION AND COMPLY WITH APPLICABLE LAW, TAX, AND REPORTING REQUIREMENTS.

Except as otherwise contemplated in these Official Rules, Kraken will use personal information collected in connection with the Promotion in accordance with its online privacy policy at https://www.kraken.com/legal/privacy.

11. Disclaimers

Cryptocurrency Risk Disclosure.

Cryptocurrency assets are subject to significant price volatility. The value of any ETH prize may increase or decrease between the date of award and the date of withdrawal. Past performance is not indicative of future results. This Promotion does not constitute financial or investment advice.

Operational Disclaimers.

Kraken is not responsible for any changes or unavailability of internet access or any other interference with a participant's ability to access or participate in the Promotion, including the ability to timely enter, receive notices, or communicate with Kraken. Without limiting any other provision in these Official Rules, Kraken is not responsible or liable for any damage or loss by reason of any acts of God, equipment failure, terrorist acts, earthquake, war, fire, flood, epidemic, explosion, unusually severe weather, embargo, labor dispute, transportation interruption of any kind, civil disturbance, or any governmental authority action, or any other cause beyond Kraken's reasonable control.

In the event of conflict between these Official Rules and any marketing or promotional materials, these Official Rules shall control.

12. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability arising from or relating to your participation in this Promotion or your receipt or use of any prize.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you based on your jurisdiction of residence: EEA residents: https://www.kraken.com/legal/eea-terms (including Section 15). 13. Taxes

Winners are solely responsible for all applicable federal, state, provincial, and local taxes on prizes received. In the United States, prizes valued at USD $600 or more per winner may be subject to IRS Form 1099 reporting requirements, and winners may be required to provide a valid taxpayer identification number (TIN) or Social Security Number (SSN) as a condition of prize delivery. The Sponsor will comply with applicable tax reporting obligations. Winners outside the United States are responsible for compliance with tax obligations in their own jurisdiction.

14. General Terms

The Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time with reasonable notice, including for fraud, technical issues, or legal requirements. The Sponsor's decisions regarding the administration of the Promotion are final.

This Promotion is void where prohibited. Marketing for this Promotion is not directed at residents of jurisdictions where this Promotion is void.

These Official Rules constitute the entire agreement between the participant and the Sponsor with respect to this Promotion and supersede all prior or contemporaneous agreements, representations, warranties, and understandings. If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

Language. These Official Rules are published in English and Spanish. In the event of any inconsistency between the English and Spanish versions of these Official Rules, the English version shall prevail.
