Effective Date: 13 May 2026

1. Sponsor

The Sponsor of this Promotion is Tulip HoldCo Ltd., located at 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor" or "Kraken").

Futures services are provided by Kraken Derivatives, the trading name of Payward Digital Solutions Ltd., a Bermuda company licensed to conduct digital asset business by the Bermuda Monetary Authority. Eligible clients that have agreed to the relevant terms and conditions will access futures contracts listed on multiple venues via Payward Digital Solutions Ltd.

2. Eligible Areas

The Promotion is open only to eligible customers in jurisdictions where Kraken Futures trading is available, excluding the United Kingdom, the United States, the European Economic Area, and Canada.

Void where prohibited.

Residents of the United Kingdom, the United States of America, the European Economic Area, Canada, and any jurisdiction where such promotions are restricted or prohibited are not eligible.

Kraken reserves the right to verify jurisdiction of residence at any time. Participants found to reside in an ineligible jurisdiction will be disqualified and any reward issued will be subject to clawback. Participation is void where prohibited.

3. Promotion Period

This Promotion commences on 13 May 2026 and continues on an always-on basis until terminated by the Sponsor ("Promotion Period"). The Sponsor reserves the right to terminate this Promotion at any time with reasonable notice.

Each individual participant's personal incentive window is as follows:

• 7 days to enrol from the date of whitelist notification ("Enrolment Window")
• 14 days to complete the qualifying activity from the date of enrolment ("Trade Window")

Participants who do not enrol within their Enrolment Window, or who do not complete the qualifying activity within their Trade Window, will not be eligible to receive the Reward for that cycle.

4. How to Participate

To be eligible to receive the Reward, a participant must complete all of the following steps:

• Be resident in an Eligible Area at the time of enrolment.
• Enroll into the Promotion via the Kraken Pro Rewards Hub within the 7-day Enrolment Window.
• After enrolling, place a single futures trade with a minimum notional value of USD $1,000 on Kraken Pro within the 14-day Trade Window. Notional value refers to the size of the futures position, not the margin posted. Trades involving stablecoin pairs are excluded.

Trades completed before enrolment will not count towards the qualifying condition. Only trades completed after enrolment will be counted.

There is no free alternative method of entry. This Promotion is an incentive, not a sweepstakes or contest.

5. Reward

Participants who meet all eligibility requirements and complete the qualifying activity will receive: USD $100 in BTC (Bitcoin) ("Reward").

The Reward will be credited to the participant's Kraken Pro account within 14 business days of the qualifying trade being confirmed.

The Reward is subject to a withdrawal hold of 30 days from the date of credit. During the hold period, the Reward may not be withdrawn from the participant's account.

One Reward per person, per household, and per account. The Reward has no cash value and may not be transferred or exchanged.

The Sponsor reserves the right to substitute the Reward with one of equal or greater value at its sole discretion.

6. Eligibility

To be eligible to participate, a participant must:

• Be 18 years of age or older (or the age of majority in their jurisdiction, whichever is greater).
• Hold an active Kraken Pro account with KYC verification completed to at least Intermediate (Tier 3) or above level.
• Be resident in an Eligible Area at the time of enrolment.
• Have futures trading enabled on their Kraken Pro account.
• Have never previously made a futures trade on Kraken Pro (new-to-futures users only).

7. Disqualification

Participants will be disqualified and any Reward forfeited or clawed back if they:

• Provide false, inaccurate, or misleading information in connection with this Promotion.
• Engage in wash trading, self-funding, self-dealing, or any manipulative trading activity.
• Use a VPN, proxy, or other means to circumvent geographic restrictions.
• Hold multiple Kraken accounts or attempt to claim the Reward on more than one account.
• Violate Kraken's Terms of Service or any applicable law or regulation.
• Are found to be resident in an ineligible jurisdiction at any time during or after the Promotion Period.

8. Reward Distribution

To receive the Reward, a participant must, before reward fulfillment, have: (a) a Kraken Pro account in good standing with futures trading enabled; and (b) completed at least Intermediate (Tier 3) KYC verification, plus any additional verification required by Kraken or applicable law. If these requirements are not met at the time of distribution, the Reward may be forfeited or clawed back.

Eligible participants will receive the Reward automatically within 14 business days of the qualifying trade being confirmed. The Reward will be credited to the participant’s Kraken Pro account in BTC.

The Reward is subject to a withdrawal hold of 30 days from the date of credit. During the hold period, the Reward may not be withdrawn from the participant’s account.

9. Notification and Issuance

Eligible participants will be notified of their Reward via their Kraken Pro account. No separate claim process is required beyond completing the qualifying activity.

If a participant's account is under review, restricted, or suspended at the time of issuance, the Reward may be withheld pending resolution.

10. Consents and Privacy

By participating, participants consent to the collection, storage, and use of their personal data by the Sponsor for the purposes of administering this Promotion, in accordance with Kraken's Privacy Policy available at https://kraken.com/legal/privacy.

11. Disclaimers

Trading futures, derivatives, and other instruments using leverage involves a significant element of risk and may not be suitable for all participants. Participants may lose more than their initial margin.

The Sponsor is not responsible for any technical failures affecting participation, any loss suffered as a result of participating, or any change in the value of BTC between issuance and withdrawal.

In the event of conflict between these Official Rules and any marketing materials, these Official Rules shall control.

12. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") that may arise from your acceptance, possession, and/or use of any Prize or your participation in this Promotion, regardless of whether such Claims exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

13. Taxes

Participants are solely responsible for any taxes, duties, or levies imposed in connection with the receipt or use of the Reward. The Sponsor will not withhold or remit taxes on behalf of participants.

14. General Terms

The Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time with reasonable notice. These Official Rules constitute the entire agreement between the participant and the Sponsor with respect to this Promotion. This Promotion is void where prohibited by law.
