BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. NO PURCHASE, PAYMENT, OR FUNDING NECESSARY TO PARTICIPATE OR WIN.
1. Sponsor
This Promotion is sponsored by Tulip HoldCo Ltd., located at 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (the "Sponsor", also referred to herein as "Kraken").
2. Eligible Areas
This Promotion is open to residents of the following jurisdictions where Kraken's eligible services are available (the "Eligible Areas"):
United States
The following US states and territories: Alabama, Alaska, Arizona, Arkansas, California, Colorado, Connecticut, Delaware, District of Columbia, Georgia, Hawaii, Idaho, Illinois, Indiana, Iowa, Kansas, Kentucky, Louisiana, Maryland, Massachusetts, Michigan, Minnesota, Mississippi, Missouri, Montana, Nebraska, Nevada, New Hampshire, New Jersey, New Mexico, North Carolina, North Dakota, Ohio, Oklahoma, Oregon, Pennsylvania, South Carolina, South Dakota, Tennessee, Texas, Utah, Vermont, Virginia, Washington, West Virginia, Wisconsin, Wyoming. Residents of Florida (FL), Maine (ME), New York (NY), Puerto Rico (PR), and Rhode Island (RI) are not eligible to participate.
Canada
The following Canadian provinces and territories: Alberta, British Columbia, Manitoba, New Brunswick, Newfoundland and Labrador, Nova Scotia, Northwest Territories, Nunavut, Ontario, Prince Edward Island, Saskatchewan, Yukon. Residents of Quebec are not eligible to participate.
Caribbean & Central America
Antigua and Barbuda, Bahamas, Barbados, Belize, Costa Rica, Dominica, Dominican Republic, El Salvador, Grenada, Guatemala, Honduras, Jamaica, Mexico, Nicaragua, Panama, Saint Kitts and Nevis, Saint Lucia, Saint Vincent and the Grenadines, Trinidad and Tobago.
European Economic Area
Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden.
This Promotion is void where prohibited by law. Eligibility is subject to applicable laws and regulations in the participant's jurisdiction.
3. Promotion Period
The Promotion begins on 20 June 2026 at 13:59 UTC and ends on 20 July 2026 at 13:59 UTC (the "Promotion Period"). Only eligible trading activity completed during the Promotion Period, after enrolment, will count toward entries.
4. How to Participate / Qualifying Activity
To participate, eligible customers must first enrol into the Promotion by tapping the enrol button for this incentive on the Kraken mobile app, Kraken Pro mobile app, or Kraken Pro web app. Trades completed before enrolment will not count toward entries.
Entry rate: every USD $1.00 (or equivalent) of eligible trading volume after enrolment earns one (1) entry into the prize draw. The maximum number of entries a participant may earn is 1,000,000 (one million), combining trade-based entries and AMOE entries.
Eligible trading activity includes:
- Spot trading
- PTL / Instant trades
The following activity does not count toward entries:
- Fiat-to-stablecoin and stablecoin-to-fiat trades
- Stablecoin-to-stablecoin trades
- Trades of xStocks, Stocks, and Bundles
- Leveraged trading on Futures / Derivatives or Margin
A free alternative method of entry (AMOE) is available via Sweeppea at https://swpp.me/a/hwgsweeps26. No purchase or trade is necessary to enter or win. Each valid AMOE submission earns ten (10) entries. Limit one (1) AMOE submission per person. AMOE entries count toward the 1,000,000 entry maximum.
5. Determination of Winners
This is a sweepstakes promotion. Winners will be selected by random draw from all eligible entries received during the Promotion Period. Odds of winning depend on the total number of eligible entries received.
No action or response is required from a winner to claim their prize. Prizes will be credited directly to the winner's Kraken account.
In the event that a winner's account is closed, suspended, or otherwise ineligible at the time of crediting, the prize may be forfeited and the Sponsor may, in its sole discretion, conduct an alternate drawing from remaining eligible entries.
For Canadian residents only: after being confirmed as a winner, the selected participant will be administered a skill-testing question in accordance with section 7A.
6. Prizes
A total of 106 prizes will be awarded as follows:
- Grand Prize (1 winner): 1 Bitcoin (BTC), credited at the prevailing USD/BTC market rate at time of award.
- Second Prize (5 winners): USD $10,000 worth of BTC each, credited at the prevailing USD/BTC market rate at time of award.
- Third Prize (100 winners): USD $100 worth of BTC each, credited at the prevailing USD/BTC market rate at time of award.
Prizes will be delivered in BTC at the prevailing USD/BTC market rate at time of issuance. Prizes are non-transferable and may not be substituted or exchanged except at the Sponsor's sole discretion for a prize of equal or greater value.
7. Eligibility to Participate
You are eligible to participate in this Promotion if, at the time of entry and throughout the Promotion Period, you:
- Reside in an Eligible Area as defined in section 2;
- Are at least 18 years of age (or the age of majority in your jurisdiction, if higher);
- Hold a Kraken account at the time of entry;
- Agree to the Kraken.com Terms of Service;
- Agree to these Official Rules and meet and comply with any and all applicable requirements herein;
- Are not otherwise ineligible to participate under the Kraken.com Terms of Service, these Official Rules, or applicable law.
By submitting your entry, you represent and warrant that you meet, and will continue to meet throughout the Promotion Period, each of the above criteria.
This Promotion is void where prohibited by applicable law.
7A. Skill-Testing Question
Canadian winners will be administered a skill-testing question following prize credit. Each Canadian winner must correctly answer, unaided, a time-limited mathematical skill-testing question administered by the Sponsor or its designee. Failure to correctly answer the skill-testing question will result in clawback of the prize.
8. Disqualification
The Sponsor reserves the right to disqualify any participant who:
- Engages in wash trading, self-funding, self-dealing, or any other artificial inflation of trading volume;
- Uses a VPN, proxy, or other means to circumvent geographic restrictions;
- Operates multiple Kraken accounts or duplicate accounts in connection with this Promotion;
- Provides false, misleading, or inaccurate information in connection with participation or prize claim;
- Resides in a jurisdiction not included in the Eligible Areas, regardless of how access was obtained.
Participants found to be resident in an ineligible jurisdiction are subject to prize clawback. The Sponsor's determination on disqualification is final.
9. Reward Distribution
Winners will be selected by random draw conducted by the Sponsor following the close of the Promotion Period on 20 July 2026 at 13:59 UTC. No action or response is required from winners — prizes will be credited directly to winners' Kraken accounts within 14 days of the draw.
To be eligible to receive a prize, a winner must hold a verified Kraken account in good standing and have completed account verification in accordance with Kraken's standard requirements at the time of prize distribution.
If a selected winner's account is closed, suspended, or otherwise ineligible at the time of crediting, the prize may be forfeited and the Sponsor may conduct an alternate drawing from remaining eligible entries. The same applies if a Canadian winner fails the skill-testing question under section 7A.
There is no withdrawal hold on prizes.
10. Consents and Approvals
By entering the Promotion, you agree that any content and any other information submitted by you or collected by Kraken in connection with the Promotion may be used by Kraken, including its affiliated business entities. You consent to communications from Kraken strictly necessary for administration of this Promotion and your Kraken account. Where required by applicable law (including for participants in the European Economic Area), consent to receive marketing communications from Kraken is separate from participation in this Promotion and will be sought through a separate opt-in mechanism. Participation in this Promotion does not constitute consent to receive marketing communications. You give consent for Kraken and its agents to obtain and deliver your name, address, and other information to third parties for the purpose of administering this Promotion and complying with applicable laws, regulations, and rules.
YOU FURTHER ACKNOWLEDGE THAT IF YOU ARE A WINNER, YOUR IDENTIFYING INFORMATION, INCLUDING BUT NOT LIMITED TO YOUR NAME AND ADDRESS, MAY BE DISCLOSED TO THIRD PARTIES TO FACILITATE THE PROMOTION AND COMPLY WITH APPLICABLE LAW, TAX, AND REPORTING REQUIREMENTS.
Except as otherwise contemplated in these Official Rules, Kraken will use personal information collected in connection with the Promotion in accordance with its online privacy policy at https://kraken.com/legal/privacy.
11. Disclaimers
Cryptocurrency Risk Disclosure.
Cryptocurrency assets are subject to significant price volatility. The value of any Bitcoin prize may increase or decrease between the date of award and the date of withdrawal. Past performance is not indicative of future results. This Promotion does not constitute financial or investment advice.
Although the term "stablecoin" is commonly used, there is no guarantee that the asset will maintain a stable value in relation to the value of the reference asset when traded on secondary markets or that the reserve of assets, if there is one, will be adequate to satisfy all redemptions.
Operational Disclaimers.
Kraken is not responsible for any changes or unavailability of internet access or any other interference with a participant's ability to access or participate in the Promotion, including the ability to timely enter, receive notices, or communicate with Kraken. Without limiting any other provision in these Official Rules, Kraken is not responsible or liable for any damage or loss by reason of any acts of God, equipment failure, terrorist acts, earthquake, war, fire, flood, epidemic, explosion, unusually severe weather, embargo, labor dispute, transportation interruption of any kind, civil disturbance, or any governmental authority action, or any other cause beyond Kraken's reasonable control.
In the event of conflict between these Official Rules and any marketing or promotional materials, these Official Rules shall control.

12. Limitation of Liability, Disputes, and Governing Law
By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability arising from or relating to your participation in this Promotion or your receipt or use of any prize.
TO THE EXTENT PERMITTED BY APPLICABLE LAW:
(1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE;
(2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND
(3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

13. Taxes
Winners are solely responsible for all applicable federal, state, provincial, and local taxes on prizes received. In the United States, prizes valued at USD $600 or more per winner may be subject to IRS Form 1099 reporting requirements. Winners may be required to provide a valid taxpayer identification number (TIN) or Social Security Number (SSN) as a condition of prize delivery. The Sponsor will comply with applicable tax reporting obligations. Non-US winners are responsible for compliance with tax obligations in their own jurisdiction.
14. General Terms
Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time with reasonable notice.
This Promotion is void where prohibited by law. Marketing for this Promotion is not directed at residents of jurisdictions where this Promotion is void.
These Official Rules constitute the entire agreement between the participant and the Sponsor with respect to this Promotion and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.
If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.
FIFA is not a sponsor or administrator of this promotion in any way. FIFA shall have no liability or responsibility for any claim arising in connection with participation in this promotion or any prize awarded.
