Kraken Funded Challenge

These Terms and Conditions ("Terms") govern the Kraken Funded Challenge Offer (the "Promotion"). The Promotion is available by invitation only. To receive a Reward, an invited customer must opt in and complete the Qualifying Activity described in Section 4 during the Promotion Period. By opting in, you agree to these Terms and to the Kraken Terms of Service applicable to you. To use a Reward, you must also accept the Kraken Funded Terms.

1. Sponsor

1.1 The Sponsor of the Promotion is Tulip HoldCo Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor"). In these Terms, "Kraken" means Sponsor and its affiliates. Rewards under this Promotion will be provided by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf.

1.2 Instant Buy, Sell and Convert services are provided by the Kraken entity that provides your account under the Kraken Terms of Service applicable to you:

  • Within the European Economic Area, Instant Buy, Sell and Convert services are provided by Payward Europe Solutions Limited ("PESL"), regulated by the Central Bank of Ireland.
  • In the United States, Payward Interactive, Inc.

1.3 The Kraken Funded evaluation is administered by Breakout Trading Group, LLC ("Breakout"). Any funded arrangement following a successful evaluation is with Payward Oceanic Ltd. (registered office: Trinity Chambers, PO Box 4301, SHRM Trustees (BVI) Limited, Road Town, Tortola, VG1110, British Virgin Islands) ("Payward Oceanic"). In each case these are governed by the Kraken Funded Terms.

2. Eligible Areas

The Promotion is open to eligible customers residing in the European Economic Area ("EEA"), the United States (excluding Indiana, Maine, Massachusetts and New York) and other jurisdictions where Kraken Funded is available. Residents of the United Kingdom, Canada, Australia and Switzerland are not eligible. Void where prohibited.

3. Promotion Period

The Promotion begins on 19 October 2026 at 14:00:00 UTC and ends on 23 October 2026 at 23:59:59 UTC (the "Promotion Period"). Kraken’s system clock is the official timekeeper.

4. How to Participate

4.1 Invitation only. Kraken will notify invited customers through Rewards Hub in the Kraken app and may also notify them by email, push notification or in-app message ("Invited Customers").

  • Only customers whose Kraken account displays the offer in Rewards Hub are eligible.
  • Kraken decides, in its sole discretion, which customers are invited and each Invited Customer’s tier.
  • For product research and measurement purposes, Kraken may invite only some otherwise eligible customers, including on a randomised basis.
  • Not receiving an invitation does not give rise to any entitlement or claim.
  • Invitations are personal and non-transferable.

4.2 Opt in. To participate, tap "Enroll now" in Rewards Hub during the Promotion Period.

4.3 Qualifying Activity. After opting in, and before the end of the Promotion Period, you must buy, sell or convert cryptoassets using Instant Buy, Sell or Convert in the Kraken app or on kraken.com. The total value of these transactions must at least equal the Qualifying Threshold for your tier ("Qualifying Activity"). Only transactions completed after you opt in count.

4.4 Calculation.

  • Each transaction is valued at its USD equivalent at the time of execution. Transactions in other currencies are converted at Kraken’s prevailing rate, as determined by Kraken.
  • Buy and sell transactions each count toward the Qualifying Threshold.
  • A conversion counts once, at the USD value of the asset converted.
  • Only completed and settled transactions count.

4.5 Excluded activity. The following do not count toward the Qualifying Threshold:

  • Fiat-to-stablecoin trades and stablecoin-to-stablecoin trades.
  • Activity on Kraken Pro.
  • Margin, futures or other derivatives.
  • xStocks or stocks.
  • Bundles.
  • Transactions placed via API.
  • Activity within Kraken Funded.
  • Any transaction that is cancelled, reversed, refunded or charged back.

Availability of products and services may vary by jurisdiction.

4.6 Tiers. Your tier is shown in your invitation and in Rewards Hub. Each Invited Customer is assigned to one tier only. The Qualifying Threshold for your tier is shown in the table below, in Rewards Hub and in your invitation, and is fixed when the Promotion starts.

5. Reward Distribution

5.1 Every Invited Customer who opts in and completes Qualifying Activity at or above their Qualifying Threshold within the Promotion Period will receive the Reward for their tier.

5.2 Each Invited Customer may receive one Reward only.

5.3 Rewards are issued to Rewards Hub. Kraken aims to issue Rewards promptly and in any event within fourteen (14) days after you complete the Qualifying Activity.

6. Reward

6.1 What the Reward is. The Reward is a voucher for one Kraken Funded challenge at the plan size stated for your tier, with the challenge fee waived.

  • The plan size (for example, $10,000) describes the size of the evaluation account. It is not the value of the Reward.
  • The Reward is not cash, cryptoassets or trading capital.
  • Passing the challenge is not guaranteed.

6.2 Value. Approximate retail values are stated in Section 4.6.

6.3 Expiry. You must start your Kraken Funded challenge using the Reward within fifteen (15) days after the Reward is issued to Rewards Hub (the expiry date is shown with the Reward). Unused Rewards expire without compensation. Expiry applies only to starting the challenge, not to completing it, which is governed by the Kraken Funded Terms.

6.4 Restrictions. Rewards are non-transferable, have no cash alternative, and may not be sold or exchanged. If a Reward becomes unavailable for reasons beyond Kraken’s reasonable control, Kraken may substitute a reward of equal or greater approximate retail value.

6.5 Kraken Funded Terms. Use of a Reward is governed exclusively by the Kraken Funded Terms. This includes challenge rules, eligibility, any funded arrangement and any payments. If you are not eligible to use Kraken Funded when the Reward would be issued, you will not receive it.

7. Kraken Account and KYC Requirement

To receive a Reward, a participant must, before Reward fulfilment, have: (a) a Kraken account in good standing; and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law in the participant’s jurisdiction. To use a Reward, you must also meet the eligibility requirements of, and accept, the Kraken Funded Terms.

8. Eligibility

To participate you must:

  • Reside in an Eligible Area (Section 2).
  • Be an Invited Customer with an individual Kraken account.
  • Be at least 18 years old or the age of majority in your jurisdiction, if higher.
  • Agree to these Terms and the applicable Kraken Terms of Service.
  • Not be prohibited from participating under applicable law.

The following are not eligible:

  • Kraken employees and internal or test accounts.
  • Customers with an active Kraken Funded challenge at the time of opting in.

9. Disqualification

9.1 Kraken may disqualify any participant, withhold or revoke an unused Reward and, to the extent permitted by the Kraken Funded Terms, terminate any challenge started with a Reward, if Kraken reasonably determines that the participant has engaged in any of the following:

  • Fraud or provided false information.
  • Used multiple accounts or colluded with others.
  • Executed transactions without genuine economic purpose, including repeatedly buying and selling the same asset in rapid succession solely to reach the Qualifying Threshold.
  • Used bots or automated means.
  • Masked their location (for example, by VPN).
  • Attempted to obtain the offer without an invitation.
  • Had transactions reversed or charged back.
  • Otherwise breached these Terms or the Kraken Terms of Service.

9.2 Kraken’s determinations are final, subject to applicable law.

10. Reward Notification and Fulfillment

10.1 Kraken will notify you in Rewards Hub when your Reward is issued, and may also notify you by email to your Kraken account email address.

10.2 If Kraken requests additional verification and you do not complete it within [X] days, the Reward will be forfeited.

10.3 Kraken may revoke any Reward issued in error.

11. Consents and Approvals / Data and Privacy

11.1 Kraken processes your personal data in accordance with the Kraken Privacy Notice at https://www.kraken.com/legal/privacy. This includes processing to determine eligibility, administer the Promotion and measure its effectiveness.

11.2 Kraken may share necessary information with its affiliates, including Breakout and Payward Oceanic, to issue and administer Rewards.

11.3 You consent to receive service communications about the Promotion.

11.4 Participation does not constitute consent to receive marketing communications; any such consent is separate.

12. Disclaimers

12.1 Kraken is not liable for technical failures, platform outages, delays in issuing Rewards, or events beyond its reasonable control, including force majeure.

12.2 Kraken does not guarantee that any participant will pass a Kraken Funded challenge or receive any payment.

12.3 Nothing in these Terms is investment advice or a recommendation to buy, sell or convert any cryptoasset.

12.4 Kraken Funded is an unregulated service. This evaluation program is intentionally rigorous and designed to verify a trader’s risk-management skill and strategy discipline before any proprietary capital is allocated by Payward Oceanic Ltd. Most applicants do not pass on their first attempt and there is no guarantee that your performance will improve or that you will pass any future evaluations. The challenge fee is waived for this offer. Fees for any further attempts are non-refundable once trading begins. Passing a challenge isn’t guaranteed, and only some clients receive a payout. If you pass the evaluation, you are providing trade signals to Payward Oceanic Ltd — you are not trading on your own behalf. Payward Oceanic exercises sole discretion over whether to act on your signals.

In the EEA, this is an unregulated platform interface providing access to services offered by other entities, and is not regulated by the Central Bank of Ireland or any other EU authority.  The protections afforded by MiCA do not apply to this service. In the US, this is not regulated by the SEC, CFTC, FINRA, or any US authority.

13. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") arising from or related to your participation in this Promotion or your receipt or use of any Reward, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you:

14. Taxes

You are responsible for any taxes arising from your receipt or use of a Reward, which may have a taxable value in your jurisdiction (see Section 4.6). Kraken may report or withhold where required by law. Kraken does not provide tax advice.

15. General Terms

15.1 Kraken may modify, suspend or terminate the Promotion for fraud, technical, legal or regulatory reasons, or otherwise at its sole discretion. A change will not remove a Reward you have already earned, except under Section 9 or where required by law.

15.2 Qualifying Activity may also count toward other Kraken promotions running at the same time, including the Kraken Halloween Sweepstakes, subject to those promotions’ terms. Participation in this Promotion does not affect your eligibility for, or chances in, any other promotion.

15.3 These Terms prevail over any marketing materials for the Promotion. The Kraken Funded Terms prevail regarding the use of a Reward.

15.4 Kraken’s decisions are final. If any provision of these Terms is unenforceable, the remaining provisions continue in effect. Kraken’s failure to enforce any provision is not a waiver.
