By entering the Kraken Halloween Sweepstakes (the "Promotion"), you accept and agree to be bound by these Official Terms and Conditions (the "Terms") and by the Kraken Terms of Service applicable to you.

1. Sponsor

The Promotion is sponsored by Tulip HoldCo Ltd. (company number 2121376), 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor" or "Kraken").

Rewards under this Promotion will be paid by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf.

Kraken products and services are provided by the Kraken entity that contracts with you, as described in the Kraken Terms of Service applicable to you. Participants in the European Economic Area are clients of Payward Europe Solutions Limited, regulated by the Central Bank of Ireland. Participants in the United States are clients of Payward Interactive, Inc. Services available vary by jurisdiction.

2. Eligible Areas

The Promotion is open to eligible customers residing in the European Economic Area ("EEA"), the United States (excluding Maine, New York, Florida, and Puerto Rico), Canada (excluding Quebec), and other jurisdictions where Kraken services are available. Residents of the United Kingdom are not eligible to participate. Void where prohibited.

3. Promotion Period

The Promotion begins on Thursday, 1 October 2026 at 13:59 UTC and ends on Saturday, 31 October 2026 at 13:59 UTC (the "Promotion Period"). Entries must be received within the Promotion Period. Kraken's systems are the official timekeeper for the Promotion.

4. How to Enter

4.1 Entry through eligible trading activity

To earn entries through trading activity, an eligible participant must first enrol in the Promotion through the enrolment page or in-product enrolment prompt. Only eligible trading activity completed after enrolment and within the Promotion Period will count toward entries.

Once enrolled, each USD 1.00 (or equivalent) of eligible trade volume earns one (1) entry. Entries are calculated using Kraken's internal USD-equivalent valuation at the time of each trade.

Eligible trading activity:

• Instant Buy / Kraken PTL orders placed on the Kraken Consumer App
• Spot orders placed on the Kraken Pro App or Kraken Pro Web

Activity that does not count toward entries:

• Margin trading and any leveraged position
• Derivatives and futures trading of any kind
• Bundles, Stocks, and xStocks (tokenized equities)
• Fiat-to-stablecoin trades and stablecoin-to-stablecoin trades
• Transfers, deposits, withdrawals, staking, and any activity that is not an executed eligible trade

Entries earned across the Kraken Consumer App, the Kraken Pro App, and Kraken Pro Web are combined into a single entry pool and a single draw. The maximum number of entries any one participant may accumulate during the Promotion Period is 1,000,000 entries, from all entry methods combined.

4.2 Alternative Method of Entry (free entry)

No purchase, deposit, trade, or other financial activity is required to enter the Promotion. To enter free of charge, complete the entry form available at https://swpp.me/a/khalloween26 during the Promotion Period. A Kraken account is not required to submit a free entry. A Kraken account is required only to receive the Prize (see Section 7).

Each valid free-entry submission receives ten (10) entries. Limit one (1) free-entry submission per person for the Promotion Period. Free entries count toward the 1,000,000-entry cap in Section 4.1.

Each entry submitted through the free entry method has the same chance of being selected as each entry earned through eligible trading activity. Entries submitted by automated means, scripts, bots, or by any person other than the individual participant are void.

5. Winner Selection

One (1) grand prize winner will be selected by random draw from all eligible entries received during the Promotion Period. The draw will be conducted by Kraken, or by an administrator acting on Kraken's behalf, within five (5) business days after the end of the Promotion Period. The odds of winning depend on the total number of eligible entries received. All decisions of Kraken relating to winner selection are final and binding, subject to applicable law.

6. Prize

One (1) grand prize of 1,000 SOL (the "Prize"). Approximate Retail Value ("ARV"): $119,870 USD as of 30 September 2026. Total ARV of all prizes: $119,870 USD as of 30 September 2026.

The Prize will be credited in SOL to the winner's Kraken account. The market value of SOL fluctuates; the ARV stated above is an approximation as at the valuation date and the value of the Prize at the time it is credited or at any later time may be higher or lower. No interest, appreciation, or compensation is payable in respect of any change in value.

The Prize is awarded "as is", is non-transferable, and may not be exchanged for cash. Only one (1) Prize will be awarded per winner. Kraken reserves the right to substitute a prize of equal or greater value where the Prize cannot be awarded as described for any reason, including where SOL is not supported for the winner's account or jurisdiction.

7. Kraken Account and Verification Requirement

To receive the Prize, a participant must, before prize fulfilment, have: (a) a Kraken account in good standing; and (b) completed at least Intermediate verification (KYC), plus any additional verification required by Kraken or by applicable law in the participant's jurisdiction.

A Kraken account is not required to enter the Promotion through the free entry method. A selected entrant who does not hold a Kraken account at the time of notification has thirty (30) days from the date of notification to open a Kraken account and complete the verification described above. Failure to do so within that period, or failure to satisfy any applicable verification requirement, will result in forfeiture of the Prize, and Kraken may select an alternate winner by random draw from the remaining eligible entries.

8. Eligibility

The Promotion is open only to natural persons who, at the time of entry: (a) reside in an eligible area as described in Section 2; (b) are at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is greater; and (c) are not prohibited from participating under any applicable law.

Employees, officers, and directors of Kraken and its affiliates, and their immediate family members and members of their households, are not eligible to participate.

By entering, each participant confirms that they have read and agree to these Terms and to the Kraken Terms of Service applicable to them, and that their participation does not breach any law applicable to them.

9. Disqualification

Kraken may disqualify any participant and void any or all of that participant's entries where Kraken reasonably determines that the participant has: provided false or misleading information; used multiple accounts, multiple free-entry submissions, or the identity of another person; used bots, scripts, or other automated means; engaged in wash trading, self-matching, or any trading activity undertaken principally to generate entries rather than for a genuine economic purpose; attempted to circumvent geographic restrictions or any other eligibility requirement; or otherwise breached these Terms, the Kraken Terms of Service, or applicable law.

10. Winner Notification and Prize Fulfilment

The selected entrant will be notified using the contact details associated with their entry (the email address on the Kraken account used to enter, or the email address provided with a free entry) within three (3) business days of the draw. The selected entrant must respond and complete any verification, eligibility confirmation, and tax documentation requested by Kraken within fourteen (14) days of the date of notification.

If the selected entrant does not respond within that period, cannot be contacted, is found to be ineligible, declines the Prize, or fails to satisfy any requirement in these Terms, the Prize will be forfeited and Kraken may select an alternate winner by random draw from the remaining eligible entries. The Prize will be credited within 14 days of all requirements being satisfied.

11. Skill-Testing Question (Residents of Canada)

A selected entrant who is a resident of Canada must, before the Prize is released, correctly answer, unaided and within the time specified by Kraken, a mathematical skill-testing question administered by Kraken. If the selected entrant does not answer the question correctly within the time specified, the Prize will be forfeited and Kraken may select an alternate winner by random draw from the remaining eligible entries.

12. Consents and Approvals; Data and Privacy

By entering, each participant consents to Kraken's collection, use, and processing of the personal information provided in connection with the Promotion for the purposes of administering the Promotion, verifying eligibility, awarding and fulfilling the Prize, and meeting Kraken's legal and regulatory obligations, in accordance with the Kraken Privacy Notice available at https://www.kraken.com/legal/privacy.

Kraken may disclose personal information to service providers engaged to administer the Promotion, including the free-entry administrator, and to tax, regulatory, and other authorities where required. Where permitted by applicable law and with the winner's separate consent where required, Kraken may publish the winner's first name and country or region of residence. Winner announcement is not a condition of receiving the Prize except where publication is required by applicable law.

13. Disclaimers

Kraken is not responsible for entries or submissions that are lost, late, incomplete, delayed, misdirected, corrupted, or not received for any reason, or for any failure, interruption, or delay of any network, platform, application, or system, including any outage of the Kraken platform or of the free-entry platform.

Kraken is not liable for any failure or delay in performing its obligations under these Terms where the failure or delay results from an event outside its reasonable control, including acts of God, natural disaster, war, civil unrest, labour disputes, epidemic, failure of telecommunications or internet services, cyber-attack, or any change in applicable law or regulatory requirement.

14. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") arising from or related to your participation in this Promotion or your receipt or use of any Reward, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

15. Taxes

The winner is solely responsible for all taxes, levies, and charges arising from receipt or use of the Prize, and for any reporting obligations arising in their jurisdiction. Kraken does not provide tax advice; participants should consult their own tax adviser.

Where required by applicable law, Kraken will collect tax identification information from the winner before the Prize is released and will report the value of the Prize to the relevant tax authority. A winner who is a United States person will be required to provide a completed Form W-9 or other information required for information reporting before the Prize is released.

16. General Terms

Kraken may modify, suspend, or terminate the Promotion, in whole or in part, at any time where required by applicable law or where the Promotion cannot be conducted as planned, including as a result of technical failure, fraud, or any other cause outside Kraken's reasonable control. Kraken may amend these Terms and will publish the amended Terms at the location where these Terms are published.

These Terms constitute the entire terms governing the Promotion. If any provision of these Terms is held invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect. Kraken's failure to enforce any provision does not constitute a waiver of that provision.

The Promotion is in no way sponsored, endorsed, administered by, or associated with Apple Inc., Google LLC, or any social media platform through which a participant may learn of the Promotion.
