The Commodities Cup

Participation in this Promotion requires opening and closing one or more Eligible Futures positions as described below. By participating, you accept these Terms and Conditions ("Terms").

1. Sponsor

This Promotion ("Promotion") is sponsored by Tulip HoldCo Ltd., 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor" or "Kraken").

2. Eligible Areas

The Promotion is open to eligible customers in jurisdictions where Kraken Futures trading is available, excluding the United Kingdom, the European Economic Area, the United States, Canada, and Australia. Void where prohibited.

3. Promotion Period

The Promotion runs from August 20, 2026, 00:00 UTC to September 20, 2026, 23:59 UTC (the "Promotion Period").

4. How to Enter / How to Participate

• Eligible participants must hold a Kraken account with Futures trading enabled.
• During the Promotion Period, open and close one or more positions in WTI Oil Perp (PF_WTIOILUSD), Brent Oil Perp (PF_BRENTUSD), Natural Gas Perp (PF_NATGASUSD), and/or Copper Perp (PF_XCUUSD) (the "Eligible Pairs").
• Ranking is based on cumulative Realized PnL (closed positions only) across the Eligible Pairs during the Promotion Period.
• A minimum of USD 1 in cumulative Realized PnL is required to qualify for the leaderboard and prize pool.
• No separate entry fee is charged to participate in the Promotion; trading the Eligible Pairs is subject to Kraken's standard Futures trading fees, spreads, and margin/leverage requirements.

5. Winner Selection

All participants meeting the minimum qualifying threshold in Section 4 are ranked by cumulative Realized PnL in the Eligible Pairs as of the end of the Promotion Period. Places 1 through 20 are awarded individually per the table in Section 6. Qualifying participants in the Ranks 21+ tier share the Section 6 "Ranks 21+" pool equally; the exact per-participant amount in that tier will depend on the total number of qualifying participants within that range and will not be known until the Promotion Period ends. Rankings are determined by Kraken in its sole discretion based on Kraken's trade and account records. Kraken's leaderboard, where displayed, is for informational purposes; Kraken's internal trade records control for prize determination.

6. Prize

Prizes are distributed as follows. All prizes are paid in USDG. Approximate retail value equals the USD-denominated payout amount shown; the per-participant amount for the "Ranks 21+" tier is variable and will be confirmed after the Promotion Period ends.

Total prize pool: USD 10,000, paid in USDG. Prizes are non-transferable and non-exchangeable for other goods or services. Kraken reserves the right to substitute a prize of equal or greater value for any reason, including unavailability of USDG.

7. Kraken Account and KYC Requirement

To receive a Prize, a participant must, before the end of the Promotion Period and before prize fulfillment, have: (a) a Kraken account in good standing with Futures trading enabled; and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law in the participant's jurisdiction.

8. Eligibility

The Promotion is open to individuals who: (a) are the age of majority in their jurisdiction of residence; (b) reside in an Eligible Area per Section 2; (c) hold a Kraken account and agree to these Terms and Kraken's Terms of Service; and (d) are not otherwise ineligible to participate under applicable law. Employees, officers, and directors of Kraken and its affiliates, and their immediate family members and household members, are not eligible.

9. Disqualification

Kraken may disqualify any participant, in its sole discretion, for: fraud or attempted fraud; providing false or misleading information; use of multiple, collusive, or coordinated accounts; self-trading; wash trading, abusive trading, market manipulation, or other trading activity intended to artificially inflate Realized PnL; use of bots or automated means to manipulate rankings; API or account sharing where prohibited; transactions that are reversed, cancelled, or adjusted by Kraken; or any other attempt to circumvent these Terms.

10. Winner Notification and Prize Fulfillment

Winners will be notified via their Kraken account and/or registered email within a reasonable period after the end of the Promotion Period. Winners may be required to respond within a specified period to claim their Prize; failure to respond may result in forfeiture and Kraken may award the Prize to an alternate winner in its sole discretion.

11. Consents and Approvals / Data and Privacy

By participating, you consent to Kraken's use of your entry and account information for the administration of this Promotion, including verification of eligibility and prize fulfillment, and to receive communications related to the Promotion. Kraken may disclose your information to third-party vendors solely for the purpose of administering the Promotion. Kraken's collection and use of personal data is governed by its Privacy Policy.

12. Disclaimers

Trading Futures involves a high degree of risk and is not suitable for all investors. Leverage can work against you, and you may lose more than your initial deposit. Ensure you fully understand the risks before trading. Futures products are not available in all jurisdictions.

Kraken is not responsible for any technical failure, platform outage, network error, or event beyond its reasonable control (force majeure) that affects a participant's ability to enter, trade, or be ranked in the Promotion. Kraken reserves the right to modify, suspend, or cancel the Promotion if circumstances arise that corrupt or affect the administration, security, fairness, or proper conduct of the Promotion.

13. Limitation of Liability, Disputes, and Governing Law

By participating in the Promotion you agree to and hereby do release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, "Claims") that may arise from your acceptance, possession and/or use of any prize or your participation in this Promotion, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

BY PARTICIPATING IN THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you, available at https://www.kraken.com/legal/global-terms, including all dispute resolution and governing law provisions contained therein.

14. Taxes

Participants are solely responsible for any and all applicable taxes arising from receipt of a Prize. Kraken does not provide tax advice. Where required by law, Kraken will report prize income to the relevant tax authority.

15. General Terms

Kraken reserves the right, in its sole discretion, to modify, suspend, or terminate the Promotion at any time, including for reasons of fraud, technical failure, or any other factor beyond Kraken's reasonable control. All decisions by Kraken regarding the administration of the Promotion, including eligibility and prize determinations, are final. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
