BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING. NO PURCHASE, PAYMENT, OR FUNDING NECESSARY TO PARTICIPATE OR WIN. PURCHASE, PAYMENT, OR FUNDING WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Sponsor

This promotion (“Promotion”) is sponsored by Payward, Inc. (“Sponsor” or “Kraken”).

2. Eligible Areas

The Promotion is open to eligible customers residing in the United States and Canada, excluding:

  • United States: New York, Florida, Maine
  • Canada: Quebec

Excluded areas also include any jurisdictions where Kraken does not operate or where such promotions are restricted by law. The United Kingdom is excluded.

3. Promotion Period

The Promotion begins on April 8th 2026 and continues on an ongoing basis until terminated by Kraken in its sole discretion.

4. How to Participate

This is an affiliate referral promotion available to new users only.

To qualify for the Promotion, you must:

a. Sign up for a new Kraken account using a valid affiliate referral link;
b. Complete Intermediate level identity verification (KYC);
c. Deposit at least $100 USD equivalent in fiat currency into your Kraken account within 14 days of account creation;
d. Complete spot crypto transactions totaling at least $100 USD equivalent, including buys, sells, or conversions, within 14 days of account creation.

Limit: One (1) reward per eligible participant.

5. Reward

Each eligible participant will receive a reward of $25 USD equivalent in Bitcoin (BTC) (the “Reward”), credited to their Kraken account within 30 days of confirmation of compliance with these Terms.

The Reward is non-transferable, non-exchangeable, and may not be redeemed for cash. Kraken may substitute the Reward with one of equal or greater value at its sole discretion.

6. Eligibility to Participate

You are eligible to participate in the Promotion if, at the time of entry and during the Promotion:

  • You reside in an Eligible Area;
  • You are at least 18 years of age or the age of majority in your jurisdiction;
  • You complete Intermediate KYC verification;
  • You agree to the Kraken.com Terms of Service;
  • You are not a Kraken Related Party;
  • You are not otherwise ineligible under applicable law.

“Kraken Related Parties” include employees, officers, directors, agents, consultants, affiliates, and their immediate family members.

7. Disqualification

Kraken reserves the right to disqualify any participant if it determines, in its sole discretion, that the participant has:

  • Violated these Terms or the Kraken Terms of Service;
  • Engaged in fraudulent, abusive, or manipulative behavior;
  • Created multiple accounts or attempted to circumvent promotion limits;
  • Engaged in self-referrals or referral abuse.

8. Non-Qualifying Activity

The following do not count toward qualifying activity and may result in disqualification:

  • Futures, margin, or derivatives trading;
  • Staking activities;
  • Stablecoin-to-stablecoin transactions;
  • Wash trading, self-dealing, or artificial volume generation;
  • Any activity deemed non-bona fide by Kraken.

9. Notification and Issuance

Rewards will be credited directly to eligible participants’ Kraken accounts within 30 days after verification of eligibility.

Accounts must be verified and in good standing at the time of reward distribution. Kraken may request additional information prior to issuing the Reward.

10. Consents and Approvals

By entering the Promotion, you consent to the collection and use of your information by Kraken for the purposes of administering the Promotion and complying with applicable laws.

You also consent to receive communications, including marketing communications.

11. Disclaimers

Kraken is not responsible for any interruption or unavailability of services that may affect participation.

Kraken and its affiliates are not liable for any loss arising from events beyond their control, including but not limited to acts of God, technical failures, or regulatory changes.

12. Limitation of Liability, Disputes, and Governing Law

By participating in the Promotion, you agree to and hereby release and hold harmless Kraken and the Kraken Related Parties from any claims arising out of your participation in the Promotion or receipt of the Reward.

BY PARTICIPATING IN THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW:

(1) ANY DISPUTES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT CLASS ACTION;
(2) DAMAGES ARE LIMITED TO ACTUAL OUT-OF-POCKET COSTS NOT TO EXCEED $25;
(3) NO PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES MAY BE AWARDED;
(4) YOU WAIVE ANY RIGHT TO INJUNCTIVE OR EQUITABLE RELIEF.

Any dispute arising under or related to this Promotion shall be governed by the laws of England and Wales, without regard to conflict of law principles.

All disputes shall be resolved by confidential binding arbitration in London, England under LCIA rules, and judgment may be entered in any court of competent jurisdiction.

Kraken may seek equitable relief in any court of competent jurisdiction.

13. Taxes

Participants are solely responsible for any taxes arising from receipt of the Reward. Kraken does not provide tax advice.

14. General Terms

Kraken reserves the right to modify, suspend, or terminate the Promotion at any time.

Kraken’s decisions are final in all matters relating to the Promotion.

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision does not constitute a waiver.

15. Entire Agreement

These Terms, together with the Kraken Terms of Service, constitute the entire agreement governing this Promotion.
