XRP Reward Incentive

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING.

1. Sponsor

1.1 The Sponsor of the Kraken XRP Reward Offer (the “Promotion”) is Tulip HoldCo Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Sponsor”). In these Terms, “Kraken” means Sponsor and its affiliates. Rewards under this Promotion will be provided by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf. Within the European Economic Area, Instant Buy, Sell and Convert services are provided by Payward Europe Solutions Limited (“PESL”), regulated by the Central Bank of Ireland. In the United States, services are provided by Payward Interactive, Inc.

2. Eligible Areas

The Promotion is open to eligible customers residing in the European Economic Area (“EEA”), the United States (excluding Indiana, Maine, Massachusetts and New York) and other jurisdictions where Instant Buy, Instant Sell and XRP are available. Residents of the United Kingdom, Canada, Australia and Switzerland are not eligible. Void where prohibited.

3. Promotion Period

The Promotion begins on November 2, 2026 at 14:00:00 UTC and ends on November 6, 2026 at 23:59:59 UTC (the “Promotion Period”). Kraken’s system clock is the official timekeeper.

4. How to Participate

4.1 Invitation only. Kraken will notify invited customers through the Offers screen in the Kraken app and may also notify them by email, push notification or in-app message (“Invited Customers”).

• Only customers whose Kraken account displays the offer on the Offers screen are eligible.
• Kraken decides, in its sole discretion, which customers are invited and each Invited Customer’s tier.
• For product research and measurement purposes, Kraken may invite only some otherwise eligible customers, including on a randomized basis.
• Not receiving an invitation does not give rise to any entitlement or claim.
• Invitations are personal and non-transferable.

4.2 Enroll. To participate, tap “Enroll now” on the Offers screen in the Kraken app during the Promotion Period. Enrollment is available in the Kraken app only.

4.3 Qualifying Activity. After enrolling, and before the end of the Promotion Period, you must buy and sell cryptoassets using Instant Buy and Instant Sell in the Kraken app or on kraken.com. The total value of these buys and sells must at least equal the Qualifying Threshold for your tier (“Qualifying Activity”). Only transactions completed after you enroll count.

4.4 Calculation.

• Each transaction is valued at its USD equivalent at the time of execution. Transactions in other currencies are converted at Kraken’s prevailing rate, as determined by Kraken.
• Buy and sell transactions each count toward the Qualifying Threshold.
• Only completed and settled transactions count.

4.5 Excluded activity. The following do not count toward the Qualifying Threshold:

• Fiat-to-stablecoin trades and stablecoin-to-stablecoin trades.
• Activity on Kraken Pro.
• Margin, futures or other derivatives.
• xStocks or stocks.
• Bundles.
• Transactions placed via API.
• Any transaction that is canceled, reversed, refunded or charged back.

Availability of products and services may vary by jurisdiction.

4.6 Tiers. Your tier is shown in your invitation and on the Offers screen. Each Invited Customer is assigned to one tier only. The Qualifying Threshold and Reward for your tier are shown in the table below, on the Offers screen and in your invitation, and are fixed when the Promotion starts.

4.7 No free alternative method of entry. There is no free alternative method of entry. This Promotion is an incentive, not a sweepstakes or contest.

5. Reward

5.1 What the Reward is. The Reward is a USD amount of XRP, set by your tier in Section 4.6: $125, $60 or $30. The USD amount is converted into XRP at Kraken’s prevailing rate when the Reward is issued, as determined by Kraken. XRP amount credited is fixed when the Reward is issued.

• The value of XRP can go up or down. Once the Reward is added to your account, its value may change.
• Kraken makes no statement about the future value of XRP.
• No withdrawal hold applies to the Reward.

5.2 Availability.  If XRP is not available to you when the Reward would be issued, Kraken will instead issue the same USD value in another cryptoasset that is available to you, converted at Kraken’s prevailing rate when the Reward is issued, as determined by Kraken. The Reward will never be issued in a stablecoin.

5.3 Restrictions. Rewards are non-transferable, have no cash alternative, and may not be sold or exchanged. If a Reward becomes unavailable for reasons beyond Kraken’s reasonable control, Kraken may substitute a reward of equal or greater value.

6. Eligibility to Participate

To participate you must:

• Reside in an Eligible Area (Section 2) at the time you enroll.
• Be an Invited Customer with an individual Kraken Consumer account.
• Be at least 18 years old or the age of majority in your jurisdiction, if higher.
• Agree to these Terms and the applicable Kraken Terms of Service.
• Not be prohibited from participating under applicable law.

Internal and test accounts are not eligible.

7. Disqualification

7.1 Kraken may disqualify any participant and withhold or revoke a Reward if Kraken reasonably determines that the participant has engaged in any of the following:

• Fraud or provided false information.
• Used multiple accounts or colluded with others.
• Executed transactions without genuine economic purpose, including repeatedly buying and selling the same asset in rapid succession solely to reach the Qualifying Threshold, or transacting with themselves or related accounts.
• Used bots or automated means.
• Masked their location (for example, by VPN or proxy).
• Attempted to obtain the offer without an invitation.
• Had transactions reversed or charged back.
• Otherwise breached these Terms or the Kraken Terms of Service.

7.2 If it is later found that you were resident in an ineligible jurisdiction when you enrolled or received the Reward, Kraken may reclaim the Reward.

7.3 Kraken’s determinations are final, subject to applicable law.

8. Reward Distribution

8.1 Every Invited Customer who enrolls and completes Qualifying Activity at or above their Qualifying Threshold within the Promotion Period will receive the Reward for their tier.

8.2 Each Invited Customer may receive one Reward only.

8.3 Rewards are credited to your Kraken account. Kraken aims to issue Rewards promptly and in any event within fourteen (14) days after you complete the Qualifying Activity.

8.4 To receive the Reward, a participant must, before Reward fulfillment, have: (a) a Kraken Consumer account in good standing; and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law in the participant’s jurisdiction. If these requirements are not met at the time of distribution, the Reward may be forfeited or clawed back.

8.5 Kraken will notify you on the Offers screen when your Reward is issued, and may also notify you by email to your Kraken account email address.

8.6 Kraken may revoke any Reward issued in error.

9. Consents and Approvals

9.1 Kraken processes your personal data in accordance with the Kraken Privacy Notice at https://kraken.com/legal/privacy. This includes processing to determine eligibility, administer the Promotion and measure its effectiveness.

9.2 Kraken may share necessary information with its affiliates to issue and administer Rewards.

9.3 You consent to receive service communications about the Promotion.

9.4 Participation does not constitute consent to receive marketing communications. Any such consent is separate.

10. Disclaimers

10.1 Kraken is not liable for technical failures, platform outages, delays in issuing Rewards, or events beyond its reasonable control, including force majeure.

10.2 Nothing in these Terms is investment advice or a recommendation to buy, sell or hold any cryptoasset, including XRP.

10.3 Cryptoassets are volatile. Their value can go down as well as up, you may lose some or all of the money you put in, and past performance is not a reliable indicator of future results. The value of the Reward may change after it is added to your account.

11. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability (“Claims”) arising from or related to your participation in this Promotion or your receipt or use of any Reward, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

12. Taxes

You are responsible for any taxes arising from your receipt or use of a Reward, which may have a taxable value in your jurisdiction. Kraken may report or withhold where required by law. Kraken does not provide tax advice.

13. General Terms

13.1 Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time, at its sole discretion, including for fraud, technical, legal or regulatory reasons. A change will not remove a Reward you have already earned, except under Section 7 or where required by law.

13.2 This Promotion is void where prohibited by law.

13.3 Participation in this Promotion does not affect your eligibility for any other Kraken promotion, subject to the terms of that promotion.

13.4 In the event of conflict between these Official Rules and any marketing materials, these Official Rules shall control.

13.5 These Official Rules, together with the Kraken Terms of Service applicable to you, are the entire agreement between you and Kraken regarding the Promotion.

13.6 If any provision of these Terms is unenforceable, the remaining provisions continue in effect.

13.7 Kraken’s failure to enforce any provision is not a waiver of that provision.

13.8 Kraken’s decisions are final, subject to applicable law.
