OFFICIAL TERMS AND CONDITIONS
BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL TERMS AND CONDITIONS (“TERMS”) AND TO THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. PLEASE READ THEM CAREFULLY BEFORE PARTICIPATING.
NO PURCHASE NECESSARY. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
1. Sponsor
This promotion (“Promotion”) is sponsored by Tulip HoldCo Ltd., located at 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Sponsor,” “Kraken,” “we,” “us,” or “our”).
2. Eligible Areas
This Promotion is open only to eligible individuals who are legal residents of Ukraine, excluding residents of:
- Crimea (UA-43)
- Donetsk (UA-14)
- Luhansk (UA-09)
Participants must also reside in a jurisdiction where participation in this Promotion and use of Kraken services are permitted by applicable law.
3. Promotion Period
The Promotion begins at 00:00 UTC on May 18, 2026 and ends at 23:59 UTC on August 18, 2026 (“Promotion Period”).
Kraken reserves the right to modify, suspend, or terminate the Promotion at any time in its sole discretion.
4. Promotion Overview
The Promotion consists of five (5) separate promotional reward tiers (each a “Tier”) available on a first-come, first-served basis to eligible users who satisfy the applicable qualifying requirements during the Promotion Period.
All rewards are paid exclusively in GLDx (tokenised gold via xStocks).
The maximum total reward available to any participant under this Promotion is USD $2,000 equivalent in GLDx.
5. Eligibility
You are eligible to participate in the Promotion if, at the time of participation and reward issuance, you:
- Are at least eighteen (18) years of age or the age of majority in your jurisdiction;
- Reside in an Eligible Area identified above;
- Successfully create and verify a Kraken account to the required KYC level;
- Agree to and comply with the Kraken.com Terms of Service;
- Are not otherwise prohibited from using Kraken services under applicable law;
- Are not a Kraken Related Party.
“Kraken Related Party” includes Kraken employees, officers, directors, consultants, contractors, representatives, affiliates, subsidiaries, advertising agencies, and immediate family or household members of the foregoing persons.
Kraken reserves the right to request additional documentation to verify eligibility.
6. How to Participate and Tier Requirements
Tier 1 – Welcome Bonus
Eligible participants who, within thirty (30) days of account registration:
- complete KYC verification;
- deposit at least USD $50 equivalent in cryptocurrency into their Kraken account; and
- complete at least USD $500 equivalent in cumulative spot, PTL, and/or margin trading volume,
will receive USD $25 equivalent in GLDx.
Maximum available rewards under this Tier: 2,000.
Limit one (1) reward per eligible participant.
Tier 2 – Active Trader Bonus
Eligible participants who, within thirty (30) days of account registration:
- complete KYC verification;
- deposit at least USD $300 equivalent in cryptocurrency; and
- complete at least USD $2,000 equivalent in cumulative spot, PTL, and/or margin trading volume,
will receive USD $60 equivalent in GLDx.
Kraken may, in its sole discretion, replace this fixed reward with a variable promotional reward mechanism offering rewards of “up to USD $150 equivalent in GLDx.”
Maximum available rewards under this Tier: 600.
Limit one (1) reward per eligible participant.
Tier 3 – Futures Explorer Bonus
Eligible participants who:
- previously completed Tier 1 or Tier 2;
- complete at least USD $10,000 equivalent in cumulative Kraken Futures trading volume during the Promotion Period,
will receive USD $100 equivalent in GLDx.
No separate deposit requirement applies to this Tier.
Stablecoin-to-stablecoin trades do not count toward qualifying volume.
Rewards issued under this Tier will be subject to a thirty (30) day withdrawal hold.
Maximum available rewards under this Tier: 250.
Limit one (1) reward per eligible participant.
Tier 4 – Power Trader Bonus
Eligible participants who:
- deposit at least USD $5,000 equivalent in cryptocurrency; and
- complete at least USD $50,000 equivalent in cumulative spot, PTL, and/or margin trading volume within thirty (30) days,
will receive USD $500 equivalent in GLDx.
Rewards issued under this Tier will be subject to a thirty (30) day withdrawal hold.
Maximum available rewards under this Tier: 100.
Limit one (1) reward per eligible participant.
Tier 5 – Whale Bonus
Eligible participants who:
- deposit at least USD $50,000 equivalent in cryptocurrency; and
- complete at least USD $250,000 equivalent in cumulative spot, PTL, and/or margin trading volume within thirty (30) days,
will receive USD $2,000 equivalent in GLDx.
Rewards issued under this Tier will be subject to a thirty (30) day withdrawal hold.
Maximum available rewards under this Tier: 20.
This Tier is strictly limited and available on a first-come, first-served basis.
Kraken reserves the right to require enhanced due diligence and additional verification prior to reward issuance.
Limit one (1) reward per eligible participant.
7. Reward Terms
All rewards:
- will be denominated and paid in GLDx;
- are non-transferable and non-exchangeable;
- may not be redeemed for cash;
- may fluctuate in value;
- are subject to applicable market risks associated with digital assets and tokenised products.
Kraken reserves the right to substitute any reward with an alternative reward of equal or greater value if GLDx becomes unavailable or impracticable.
8. Reward Issuance
Eligible rewards will generally be credited to qualifying Kraken accounts within thirty (30) days following Kraken’s verification of eligibility and compliance with these Terms.
Accounts must remain open, verified, unrestricted, and in good standing at the time of reward issuance.
Kraken may withhold, delay, cancel, reverse, or claw back rewards where:
- eligibility requirements are not satisfied;
- fraudulent or abusive conduct is suspected;
- prohibited trading activity is detected;
- multiple account activity is identified;
- the participant violates these Terms or the Kraken Terms of Service.
9. Prohibited Conduct
The following activities are prohibited and may result in disqualification:
- wash trading;
- self-dealing;
- market manipulation;
- abusive trading strategies;
- creation or operation of multiple accounts;
- VPN or geographic circumvention;
- fraudulent documentation;
- any activity intended to unfairly exploit the Promotion.
Kraken reserves sole discretion to determine whether activity is abusive, manipulative, or non-bona fide.
10. xStocks / GLDx Disclosure
GLDx is a tokenised gold product made available through Kraken’s xStocks offering.
GLDx provides economic exposure to the underlying reference asset but does not constitute ownership of physical gold, equity securities, shares, or other conventional ownership interests.
Nothing in this Promotion constitutes investment advice, a recommendation, or an offer to purchase or sell securities or derivatives.
Digital asset and tokenised asset products involve risk and may lose value.
11. Privacy and Consents
By participating in the Promotion, you consent to Kraken’s collection, use, and disclosure of your personal information for purposes of administering the Promotion and complying with applicable laws and regulations.

You further consent to receiving communications relating to the Promotion, including marketing communications where permitted by law.
12. Disclaimers
Kraken is not responsible for:
- interrupted or unavailable internet access;
- technical malfunctions;
- system failures;
- delayed transactions;
- inaccurate trade calculations;
- or any other error affecting participation in the Promotion.
Without limiting any other provision of these Terms, Kraken and Kraken Related Parties shall not be liable for delays or failures caused by events beyond their reasonable control, including acts of God, war, terrorism, labor disputes, epidemics, natural disasters, governmental actions, or market disruptions.

13. Limitation of Liability, Disputes, and Governing Law
By participating in the Promotion, you agree to and hereby release and hold harmless Kraken and the Kraken Related Parties from any damage, injury, loss, claim, action, demand, or liability arising from or relating to your participation in the Promotion or acceptance, possession, or use of any reward.
BY PARTICIPATING IN THE PROMOTION, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW:
- ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE PROMOTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION;
- ANY CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, NOT TO EXCEED TWENTY-FIVE U.S. DOLLARS (US$25);
- UNDER NO CIRCUMSTANCES SHALL YOU BE PERMITTED TO OBTAIN PUNITIVE, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES, INCLUDING LOST PROFITS;
- YOU WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
Any dispute arising under or relating to these Terms shall be governed by the laws of England and Wales, without regard to conflict of law principles.
Any dispute arising from or relating to this Promotion shall be resolved exclusively through confidential binding arbitration in London, England under the LCIA Rules.
Notwithstanding the foregoing, Kraken may seek equitable relief in any court of competent jurisdiction.
14. Taxes
Participants are solely responsible for determining and satisfying any tax obligations arising from participation in the Promotion or receipt of rewards.
Kraken does not provide tax advice.
15. General Terms
Kraken reserves the right to modify, suspend, or terminate the Promotion or these Terms at any time.
Kraken’s decisions regarding eligibility, rewards, calculations, disqualification, and interpretation of these Terms shall be final and binding.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Kraken to enforce any provision of these Terms shall not constitute a waiver of that provision.
In the event of any conflict between marketing materials and these Terms, these Terms shall control.
