COMPETITIONS26 - OFFICIAL RULES

BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE PARTICIPATING.

In the event of any inconsistency, conflict, or ambiguity between the French version and the English version of these Terms, the English version shall prevail and control.

1. Sponsor

The sponsor of this Promotion is Tulip HoldCo Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Sponsor” or “Kraken”).

2. Eligible Areas

This Promotion is open to eligible new customers residing in the European Economic Area ("EEA"), the United States (excluding Maine and New York), and other jurisdictions where Kraken Spot trading services are available to new customers.

Residents of Canada, the United Kingdom, Australia, Bangladesh, Pakistan, Nepal, Kenya, Ghana, Brazil, Venezuela, and Argentina are not eligible to participate.

Void where prohibited.

3. Promotion Period

This Promotion commences on 20 May 2026 and runs on an ongoing basis until terminated by the Sponsor with reasonable notice (“Promotion Period”). The Sponsor reserves the right to modify, suspend, or terminate the Promotion at any time with reasonable notice.

4. How to Participate / Qualifying Activity

To participate, during the Promotion Period a new user must:

(a) create a Kraken account using invite code COMPETITIONS26;

(b) deposit $100 USD or equivalent in fiat currency via an approved payment method. Approved methods include bank transfer, Plaid, PayPal, iDEAL, and equivalent approved fiat deposit methods. Card payments, Apple Pay, and Google Pay do not qualify; and

(c) trade $100 USD or equivalent fiat-denominated volume of any non-stablecoin cryptocurrency on Spot using the Pro order form on Pro Mobile or Pro Web. Trades of tokenised stocks or traditional stocks do not count.

All three conditions must be completed during the Promotion Period. There is no free alternative method of entry. This Promotion is an incentive, not a sweepstakes or contest.

5. Reward

Each participant who completes all qualifying conditions will receive a BTC reward, the amount of which is determined by a random selection from the following probability pool:

• $5 in BTC — 87.0% probability

• $25 in BTC — 9.0% probability

• $75 in BTC — 3.5% probability

• $200 in BTC - 0.5% probability

The maximum reward any single participant can receive is $200 in BTC. Reward values are denominated in USD and credited in BTC at the prevailing exchange rate at the time of crediting. One reward per person.

6. Eligibility to Participate

To be eligible, participants must: (a) be aged 18 years or older (or the age of majority in their jurisdiction, whichever is greater) at the time of participation; (b) be a resident of an Eligible Area as defined in §2 at the time of participation; and (c) be a new Kraken user who does not currently hold an existing Kraken account.

7. Disqualification

Participants will be disqualified for any of the following:

(a) wash trading, self-funding, or self-dealing;

(b) use of a VPN, proxy, or other technical means to circumvent geographic restrictions;

(c) creation of multiple or duplicate accounts to obtain more than one reward;

(d) provision of false or misleading information during registration or participation;

(e) residence in an ineligible jurisdiction, including where discovered after a reward has been provisionally credited — the Sponsor reserves the right to claw back any reward paid to an ineligible participant.

8. Reward Distribution

Rewards will be credited to the participant’s Kraken account within 3 days of completion of all qualifying conditions. To receive the Reward, a participant must, at the time of reward fulfilment, have: (a) a Kraken account in good standing; and (b) completed Intermediate (Tier 3) KYC verification, plus any additional verification required by Kraken or applicable law. If these requirements are not met at the time of distribution, the Reward may be forfeited or clawed back.

All rewards are subject to a 30-day withdrawal hold from the date of credit. During this period, the reward will be visible in the participant’s account but may not be withdrawn.

9. Consents and Approvals

By participating in this Promotion, participants consent to the collection, use, and processing of their personal data by the Sponsor for the purposes of administering the Promotion, in accordance with Kraken’s Privacy Policy available at https://kraken.com/legal/privacy.

Where required by applicable law (including for participants in the European Economic Area), consent to receive marketing communications from Kraken is separate from participation in this Promotion and will be sought through a separate opt-in mechanism. Participation in this Promotion does not constitute consent to receive marketing communications.

10. Disclaimers

Cryptocurrency trading involves significant risk. The value of cryptocurrencies can go up or down, and past performance is not indicative of future results. This Promotion does not constitute financial or investment advice. The Sponsor is not responsible for technical failures, network errors, or other circumstances beyond its reasonable control that may affect participation or reward delivery. In the event of a conflict between these Official Rules and any marketing materials, these Official Rules shall control.

11. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability arising out of or in connection with this Promotion, including the acceptance, use, or misuse of any reward.

TO THE EXTENT PERMITTED BY APPLICABLE LAW:

(1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE;

(2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND

(3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you, based on your jurisdiction of residence:

12. Taxes

Participants are solely responsible for any and all taxes, duties, or levies arising from receipt of a reward in their jurisdiction. The Sponsor does not provide tax advice. Participants should consult a qualified tax advisor regarding their individual tax obligations.

13. General Terms

Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time with reasonable notice. This Promotion is void where prohibited by law. These Official Rules constitute the entire agreement between the participant and the Sponsor with respect to this Promotion and supersede all prior agreements and understandings. If any provision of these Official Rules is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Failure by the Sponsor to enforce any provision of these Official Rules will not constitute a waiver of that provision.

En cas d'incohérence, de conflit ou d'ambiguïté entre la version française et la version anglaise des présentes Conditions, la version anglaise prévaudra.

1. Organisateur

L’organisateur de cette Promotion est Tulip HoldCo Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, Îles Vierges britanniques (« Organisateur » ou « Kraken »).

2. Territoires éligibles

Cette Promotion est ouverte aux nouveaux clients éligibles résidant dans l’Espace économique européen (« EEE »), aux États-Unis (à l’exclusion du Maine et de New York), ainsi que dans les autres juridictions où les services de trading Spot de Kraken sont accessibles aux nouveaux clients.

Les résidents du Canada, du Royaume-Uni, de l’Australie, du Bangladesh, du Pakistan, du Népal, du Kenya, du Ghana, du Brésil, du Venezuela et de l’Argentine ne sont pas autorisés à participer.

Nul là où la loi l’interdit.

3. Période de la Promotion

Cette Promotion débute le 20 mai 2026 et se poursuit de manière continue jusqu’à sa résiliation par l’Organisateur moyennant un préavis raisonnable (« Période de la Promotion »). L’Organisateur se réserve le droit de modifier, suspendre ou mettre fin à la Promotion à tout moment moyennant un préavis raisonnable.

4. Modalités de participation / Activité qualificative

Pour participer pendant la Période de la Promotion, un nouvel utilisateur doit :

(a) créer un compte Kraken en utilisant le code d’invitation COMPETITIONS26 ;

(b) déposer 100 USD ou l’équivalent en monnaie fiduciaire via un mode de paiement approuvé. Les méthodes approuvées comprennent les virements bancaires, Plaid, PayPal, iDEAL et toute méthode équivalente approuvée de dépôt en monnaie fiduciaire. Les paiements par carte, Apple Pay et Google Pay ne sont pas éligibles ; et

(c) effectuer des transactions d’un volume de 100 USD ou équivalent libellé en monnaie fiduciaire sur toute cryptomonnaie non stablecoin sur le marché Spot en utilisant le formulaire d’ordre Pro sur Pro Mobile ou Pro Web. Les transactions portant sur des actions tokenisées ou des actions traditionnelles ne sont pas prises en compte.

Les trois conditions doivent être remplies pendant la Période de la Promotion. Aucun mode gratuit alternatif de participation n’est proposé. Cette Promotion constitue une incitation commerciale et non un tirage au sort ou un concours.

5. Récompense

Chaque participant remplissant toutes les conditions qualificatives recevra une récompense en BTC, dont le montant sera déterminé par une sélection aléatoire selon les probabilités suivantes :

• 5 USD en BTC — probabilité de 87,0 %

• 25 USD en BTC — probabilité de 9,0 %

• 75 USD en BTC — probabilité de 3,5 %

• 200 USD en BTC — probabilité de 0,5 %

La récompense maximale qu’un participant peut recevoir est de 200 USD en BTC. Les valeurs des récompenses sont libellées en USD et créditées en BTC au taux de change en vigueur au moment du crédit. Une seule récompense par personne.

6. Conditions d’éligibilité

Pour être éligibles, les participants doivent :

(a) être âgés d’au moins 18 ans (ou avoir atteint l’âge de la majorité dans leur juridiction si celui-ci est supérieur) au moment de la participation ;

(b) résider dans un Territoire éligible tel que défini à l’article 2 au moment de la participation ; et

(c) être un nouvel utilisateur Kraken ne détenant actuellement aucun compte Kraken existant.

7. Disqualification

Les participants seront disqualifiés dans les cas suivants :

(a) wash trading, autofinancement ou transactions avec soi-même ;

(b) utilisation d’un VPN, d’un proxy ou de tout autre moyen technique destiné à contourner les restrictions géographiques ;

(c) création de plusieurs comptes ou de comptes dupliqués afin d’obtenir plus d’une récompense ;

(d) fourniture d’informations fausses ou trompeuses lors de l’inscription ou de la participation ;

(e) résidence dans une juridiction non éligible, y compris lorsqu’elle est découverte après qu’une récompense a été provisoirement créditée — l’Organisateur se réserve le droit de récupérer toute récompense versée à un participant inéligible.

8. Distribution des récompenses

Les récompenses seront créditées sur le compte Kraken du participant dans un délai de 3 jours suivant la réalisation de toutes les conditions qualificatives. Pour recevoir la Récompense, le participant doit, au moment de son attribution :

(a) disposer d’un compte Kraken en règle ; et

(b) avoir complété la vérification KYC Intermédiaire (Niveau 3), ainsi que toute vérification supplémentaire exigée par Kraken ou par la loi applicable.

Si ces exigences ne sont pas satisfaites au moment de la distribution, la Récompense pourra être annulée ou récupérée.

Toutes les récompenses sont soumises à une période de blocage des retraits de 30 jours à compter de la date de crédit. Pendant cette période, la récompense sera visible sur le compte du participant mais ne pourra pas être retirée.

9. Consentements et autorisations

En participant à cette Promotion, les participants consentent à la collecte, à l’utilisation et au traitement de leurs données personnelles par l’Organisateur aux fins d’administration de la Promotion, conformément à la Politique de confidentialité de Kraken disponible à l’adresse : https://kraken.com/legal/privacy.

Lorsque la loi applicable l’exige (notamment pour les participants résidant dans l’Espace économique européen), le consentement à recevoir des communications marketing de Kraken est distinct de la participation à cette Promotion et sera recueilli via un mécanisme d’adhésion distinct. La participation à cette Promotion ne constitue pas un consentement à recevoir des communications marketing.

10. Clauses de non-responsabilité

Le trading de cryptomonnaies comporte des risques importants. La valeur des cryptomonnaies peut augmenter ou diminuer, et les performances passées ne préjugent pas des résultats futurs. Cette Promotion ne constitue ni un conseil financier ni un conseil en investissement.

L’Organisateur ne saurait être tenu responsable des défaillances techniques, erreurs réseau ou autres circonstances échappant raisonnablement à son contrôle susceptibles d’affecter la participation ou la distribution des récompenses.

En cas de conflit entre le présent Règlement officiel et tout matériel marketing, le présent Règlement officiel prévaudra.

11. Limitation de responsabilité, litiges et droit applicable

En participant à cette Promotion, vous acceptez de dégager de toute responsabilité Tulip HoldCo Ltd. ainsi que ses sociétés affiliées, dirigeants, administrateurs, employés et agents (collectivement « Kraken ») et les exonérez de toute responsabilité concernant tout dommage, blessure, décès, perte, réclamation, action, demande ou autre responsabilité résultant de ou liée à cette Promotion, y compris l’acceptation, l’utilisation ou la mauvaise utilisation de toute récompense.

DANS LA MESURE AUTORISÉE PAR LA LOI APPLICABLE :

(1) TOUTES LES RÉCLAMATIONS, DÉCISIONS ET INDEMNISATIONS SERONT LIMITÉES AUX FRAIS RÉELS, DIRECTS ET À LA CHARGE DU PARTICIPANT, LE CAS ÉCHÉANT, SANS POUVOIR EXCÉDER VINGT-CINQ DOLLARS AMÉRICAINS (25 USD). LES HONORAIRES D’AVOCAT NE SONT PAS RÉCUPÉRABLES ;

(2) VOUS RENONCEZ À TOUT DROIT DE RÉCLAMER DES DOMMAGES-INTÉRÊTS PUNITIFS, ACCESSOIRES, INDIRECTS, CONSÉCUTIFS OU SPÉCIAUX, AINSI QUE TOUT MANQUE À GAGNER ; ET

(3) VOS RECOURS SONT LIMITÉS À UNE DEMANDE D’INDEMNISATION PÉCUNIAIRE UNIQUEMENT.

Le règlement des litiges et le droit applicable sont régis par les Conditions d’utilisation Kraken qui vous sont applicables selon votre juridiction de résidence :

12. Fiscalité

Les participants sont seuls responsables de l’ensemble des impôts, taxes, droits ou prélèvements résultant de la réception d’une récompense dans leur juridiction. L’Organisateur ne fournit aucun conseil fiscal. Les participants sont invités à consulter un conseiller fiscal qualifié concernant leurs obligations fiscales individuelles.

13. Conditions générales

L’Organisateur se réserve le droit de modifier, suspendre ou mettre fin à cette Promotion à tout moment moyennant un préavis raisonnable. Cette Promotion est nulle là où la loi l’interdit.

Le présent Règlement officiel constitue l’intégralité de l’accord entre le participant et l’Organisateur concernant cette Promotion et remplace tous accords ou entendements antérieurs.

Si une disposition du présent Règlement officiel est jugée invalide ou inapplicable, les autres dispositions resteront pleinement en vigueur.

Le fait pour l’Organisateur de ne pas faire appliquer une disposition du présent Règlement officiel ne constitue pas une renonciation à cette disposition.
