KRAKEN x GINGA FIFA WORLD CUP 2026 SUITE UPGRADE PROMOTION

OFFICIAL TERMS AND CONDITIONS

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL TERMS AND CONDITIONS (“TERMS”) AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A BINDING CONTRACT. PLEASE READ CAREFULLY BEFORE PARTICIPATING.

1. Sponsor

This promotion (“Promotion”) is sponsored by Tulip HoldCo Ltd., located at 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor" or "Kraken").

2. Eligible Area

The Promotion is open to eligible participants residing in Brazil.

Void where prohibited.

3. Promotion Period

The Promotion begins on June 13, 2026 and ends on July 19, 2026.

Eligible Ginga event dates are:

  • June 13, 2026

  • June 19, 2026

  • June 24, 2026

  • July 5, 2026

  • July 9, 2026

  • July 11, 2026

  • July 14, 2026

  • July 19, 2026

Kraken reserves the right to modify, suspend, or terminate the Promotion at any time in its sole discretion.

4. How to Participate

To qualify for the Promotion, a participant must:

  1. Hold a valid ticket to an eligible Ginga World Cup party event;

  2. Open a Kraken Pro account;

  3. Successfully complete all required KYC verification procedures;

  4. Deposit a minimum of USD $200 (or BRL equivalent) into their Kraken account; and

  5. Purchase at least USD $200 (or BRL equivalent) of eligible crypto assets on Kraken.

Stablecoins do not qualify toward the crypto purchase requirement. Excluded assets include, but are not limited to:

  • USDT

  • USDC

  • USDG

  • PYUSD

  • DAI

  • BRL1

  • and any similar stable-value assets designated by Kraken in its sole discretion.

All qualifying actions must be completed before the applicable event date for which the participant seeks suite access.

Kraken’s records and systems shall determine qualification timing and eligibility in Kraken’s sole discretion.

5. Reward

Eligible participants may receive:

  • one (1) upgrade to the Kraken suite (“camarote”) for an eligible Ginga event; and

  • access for one (1) guest accompanying the winner.

Each winner receives a total of two (2) suite tickets.

ARV per winner: approximately BRL 5,000 / USD 1,000 (two Ginga suite tickets per event date, based on the retail value of a pair of suite tickets sold by Ginga for the World Cup 2026 event series at Clube Pinheiros, São Paulo). Note: ARV is expressed at the time of publication; actual value may vary.

The reward:

  • is non-transferable;

  • may not be sold, assigned, exchanged, or gifted;

  • has no cash value; and

  • may not be substituted except by Kraken in its sole discretion.

The guest accompanying the winner is not independently entitled to any separate reward.

6. Winner Determination

Winners will be determined on a first-come, first-served basis.

For each eligible event date:

  • the first twenty-five (25) participants who successfully complete all Promotion requirements and are validated by Kraken as eligible will receive the reward.

Only fifty (50) suite spots are available per event date.

Completion of the qualifying requirements does not guarantee receipt of a reward if all available rewards for the applicable event date have already been allocated.

Kraken reserves the right to determine and verify eligibility and winner status in its sole discretion.

7. Participation Limits

Limit one (1) reward per participant during the entire Promotion Period.

A participant who receives suite access for one eligible Ginga event may not receive suite access for another event, even if the participant holds tickets for multiple eligible events.

8. Eligibility Restrictions

You are not eligible to participate if:

  • you are otherwise prohibited from using Kraken services under applicable law or Kraken’s Terms of Service.

Participants must maintain a verified Kraken account in good standing throughout the Promotion Period and through the applicable event date.

Kraken may revoke eligibility or rewards in cases involving:

  • fraud;

  • abuse;

  • multiple account creation;

  • manipulation;

  • sanctions concerns;

  • suspicious activity; or

  • violations of Kraken’s Terms of Service or applicable law.

9. Event Conditions

Winner must attend the applicable event in person.

Kraken reserves the right to require presentation of:

  • government-issued identification;

  • proof of Kraken account ownership; and

  • proof of Ginga ticket ownership.

Kraken is not responsible for:

  • transportation;

  • lodging;

  • food or beverages;

  • event cancellation or postponement;

  • venue modifications; or

  • any acts or omissions of Ginga, FIFA, venues, or third-party providers.

10. Privacy

Personal information collected in connection with the Promotion will be processed in accordance with Kraken’s Privacy Notice available at:

https://www.kraken.com/legal/privacy

11. Disclaimers

Kraken is not responsible for:

  • technical failures;

  • interrupted internet access;

  • delayed transactions;

  • platform outages;

  • inaccurate account information; or

  • other events beyond Kraken’s reasonable control.

Kraken may cancel, suspend, or modify the Promotion if fraud, technical failures, legal changes, market conditions, or other events impair the integrity or administration of the Promotion.

12. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") that may arise from your acceptance, possession, and/or use of any reward or your participation in this Promotion, regardless of whether such Claims exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you, available at https://www.kraken.com/legal/global-terms, including all dispute resolution and governing law provisions contained therein.

13. Taxes

Participants are solely responsible for any taxes, duties, fees, or other governmental charges associated with receipt or use of the reward.

14. General Terms

Kraken reserves the right to:

  • interpret these Terms;

  • determine eligibility;

  • investigate suspected violations; and

  • modify, suspend, or terminate the Promotion at any time.

Kraken’s decisions regarding the Promotion are final and binding.
