Pro Futures Ukraine Bonus - Ref Plan 3 (Futures Loss Protection Voucher)

BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING.

1. Sponsor

This Promotion ("Promotion") is offered by Tulip HoldCo Ltd., 2nd Floor, Water's Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands ("Sponsor" or "Kraken").

Rewards under this Promotion will be paid by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf.

Futures services are provided by Kraken Derivatives, the trading name of Payward Digital Solutions Ltd., a Bermuda company licensed to conduct digital asset business by the Bermuda Monetary Authority. Eligible clients that have agreed to the relevant terms and conditions will access futures contracts listed on multiple venues via Payward Digital Solutions Ltd.

2. Eligible Areas

This Promotion is open to eligible customers who are residents of Ukraine at the time of enrolment, excluding residents of Crimea, Donetsk, and Luhansk. Sponsor reserves the right to verify residency and eligibility at any time.

3. Promotion Period

This Promotion runs from 00:00 UTC on 6 October 2026 through 23:59 UTC on 6 November 2026 (the "Promotion Period"). Participants who enrol (by using a valid referral/invite code) during the Promotion Period have 14 days from the date of enrolment to complete all qualifying conditions described in Section 4.

4. How to Participate / Qualifying Activity

To qualify for a Reward, a participant must, within 14 days of enrolment (use of the referral/invite code):

• register for a Kraken account using a valid referral code or link provided by a participating KOL or community partner assigned to Ref Plan 3;
• be a new Kraken user;
• complete Know Your Customer ("KYC") verification;
• deposit a minimum of $50 (or equivalent) into their Kraken Pro Futures wallet;
• generate at least $10,000 in cumulative Kraken Pro Futures trading volume; and
• not withdraw or transfer out the qualifying Futures wallet deposit described above at any time during the 14-day qualification period.

There is no free alternative method of entry for this Ref Plan, as it is an incentive with a fixed, deterministic outcome, not a sweepstakes or contest.

5. Reward

Participants who complete the qualifying conditions in Section 4 will receive the following Reward:

• Futures Loss Protection Voucher: a voucher worth up to $50, available to the first 50 qualifying participants registered under a designated KOL/community referral code assigned to Ref Plan 3, which triggers a rebate of up to $50 when the participant closes (or partially closes) their next Kraken Pro Futures position at a loss, subject to the voucher’s own terms of use.

Each designated referral code assigned to Ref Plan 3 has its own independent pool, capped at 50 qualifying participants, operating on a first-come, first-served basis within that referral code only. Once a given referral code’s pool is reached, no further Rewards will be issued under that code, regardless of whether a participant otherwise meets the qualifying conditions.

A participant may receive a maximum of one Reward under this Promotion, tied to the single referral code used at enrolment.

6. Eligibility to Participate

To participate in this Promotion, a participant must:

• be at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is greater;
• be a resident of an Eligible Area as described in Section 2 at the time of enrolment;
• be a new Kraken user, with no pre-existing Kraken account prior to registering under a participating referral code; and
• have Futures trading enabled on their Kraken Pro account.

7. Disqualification

Sponsor reserves the right to disqualify any participant, and to withhold or claw back any Reward, if Sponsor determines, in its sole discretion, that a participant has:

• engaged in wash trading, self-funding, self-dealing, or any other form of manufactured or non-genuine trading volume;
• used a VPN, proxy, or other method to circumvent geographic eligibility restrictions;
• registered or attempted to register more than one account, or attempted to claim more than one Reward per person, household, device, or payment method;
• provided false or misleading information in connection with this Promotion; or
• at any time during participation, resided in a jurisdiction excluded from this Promotion under Section 2.

Trading volume generated through prohibited, abusive, or manipulative activity will not count toward the qualifying conditions in Section 4.

8. Reward Distribution

To receive the Reward, a participant must, before reward fulfilment, have: (a) a Kraken Pro account in good standing with Futures trading enabled; and (b) completed Intermediate (Tier 3) KYC verification, plus any additional verification required by Kraken or applicable law. If these requirements are not met at the time of distribution, the Reward may be forfeited or clawed back.

Rewards will be paid within 14 days of a participant completing the qualifying conditions in Section 4, or of the end of the Promotion Period, whichever is later. Rewards under this Ref Plan will be issued as: Futures Loss Protection Voucher, subject to the voucher’s own terms of use.

The Reward under this Ref Plan is a Futures Loss Protection Voucher and is subject to the voucher’s own separate terms of use, including any applicable expiry or usage window.

9. Consents and Approvals

By participating, each participant consents to Sponsor’s collection, use, and processing of their personal information in connection with this Promotion, as described in Kraken’s Privacy Policy, available at https://kraken.com/legal/privacy.

10. Disclaimers

Trading Kraken Pro Futures products involves significant risk. Leverage can amplify both gains and losses, and participants may lose more than their initial margin. Futures products may not be suitable for all investors. Nothing in this Promotion constitutes investment advice.

Sponsor is not responsible for technical failures, network errors, or other circumstances beyond its reasonable control that affect a participant’s ability to participate in or complete this Promotion. In the event of any conflict between these Official Rules and any marketing materials describing this Promotion, these Official Rules shall control.

11. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") arising out of or relating to participation in this Promotion or receipt or use of any Reward, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

12. Taxes

Any tax liability arising from the receipt of a Reward is the sole responsibility of the participant. Sponsor makes no representation regarding the tax treatment of any Reward and recommends that participants consult their own tax advisor.

13. General Terms

Sponsor reserves the right to modify, suspend, or terminate this Promotion at any time, at its sole discretion. This Promotion is void where prohibited by law.

These Official Rules constitute the entire agreement between the participant and Sponsor with respect to this Promotion and supersede all prior communications relating to the Promotion.

If any provision of these Official Rules is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

Sponsor's failure to enforce any provision of these Official Rules will not constitute a waiver of that provision.
