By entering the Win up to $500 in Bitcoin Sweepstakes (the “Promotion”), you accept and agree to be bound by these Official Terms and Conditions (the “Terms”) and by the Kraken Terms of Service applicable to you.

1. SPONSOR

The Promotion is a sweepstakes, in which winners are selected by random drawing. It is sponsored by Tulip HoldCo Ltd. (company number 2121376), 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Sponsor” or “Kraken”).

Rewards under this Promotion will be paid by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf.

Kraken products and services are provided by the Kraken entity that contracts with you, as described in the Kraken Terms of Service applicable to you. Participants in the European Economic Area are clients of Payward Europe Solutions Limited, regulated by the Central Bank of Ireland. Participants in the United States are clients of Payward Interactive, Inc. Services available vary by jurisdiction.

2. ELIGIBLE AREAS

The Promotion is open to eligible customers residing in the European Economic Area (“EEA”) (excluding Poland and Norway) and the United States (excluding Maine, New York, Washington, Florida, and Puerto Rico). Residents of the United Kingdom are not eligible to participate. Void where prohibited.

3. PROMOTION PERIOD

The Promotion begins on 15 November 2026 at 14:00:00 UTC and ends on 14 December 2026 at 13:59:59 UTC (the “Promotion Period”). Only Qualifying Trades (defined in Section 4) executed during the Promotion Period after you have enrolled count towards entries. Free entries must be submitted during the Promotion Period.

4. HOW TO ENTER

4.1 Invitation only. The Promotion is available only to customers whom Kraken has invited through the Offers screen of the Kraken app (“Invited Customers”). Public posts or third-party content about the Promotion do not make anyone invited or eligible. Invitations are personal and non-transferable.

4.2 Entering by trading. To earn entries through trading, an Invited Customer must first enroll in the Promotion through the Offers screen during the Promotion Period. Only eligible trading activity completed after enrollment and within the Promotion Period counts toward entries (“Qualifying Trades”).

Eligible trading activity: Instant Buy orders placed on the Kraken Consumer App; and Spot orders placed on the Kraken Pro App or Kraken Pro Web.

Activity that does not count toward entries: margin trading and any leveraged position; derivatives and futures trading of any kind; bundles, stocks and xStocks (tokenized equities); trades in stablecoin pairs (any trading pair in which either asset is a stablecoin); and transfers, deposits, withdrawals, staking, and any activity that is not an executed eligible trade. Trades made before you enroll, and trades that are cancelled, reversed, failed or voided, do not count.

Once enrolled, each USD 1.00 (or equivalent) of eligible trade volume earns one (1) entry. Entries are calculated using Kraken’s internal USD-equivalent valuation at the time of each trade, on your total eligible trade volume during the Promotion Period, rounded down to the nearest whole dollar. Entries earned across the Kraken Consumer App, the Kraken Pro App and Kraken Pro Web are combined into a single entry pool and a single Draw. The maximum number of entries any one participant may accumulate is 10,000, from all methods of entry combined.

4.3 Alternative Method of Entry (free entry). No purchase, deposit, trade or other financial activity is necessary to enter the Promotion. Each Invited Customer may enter free of charge by submitting one (1) free entry at https://swpp.me/e/ksweeps151126, following the instructions on that page. Each valid free-entry submission receives ten (10) entries. Limit one (1) free-entry submission per person for the Promotion Period. Free entries count toward the 10,000-entry maximum in Section 4.2. Each entry submitted through the free method has the same chance of being selected as each entry earned through eligible trading activity. Entries submitted by automated means, scripts or bots, or by any person other than the individual participant, are void.

4.4 Odds. The number of Invited Customers is limited. The odds of winning depend on the total number of eligible entries received.

5. WINNER SELECTION

After the end of the Promotion Period, Kraken will select five (5) winners by random drawing (the “Draw”) from all eligible entries received during the Promotion Period, whether earned by trading or by the free method. Every eligible entry has an equal chance of being drawn. The Draw will be conducted by Kraken, or by an administrator acting on Kraken’s behalf, within 7 business days after the end of the Promotion Period. Prizes are allocated in the order drawn: the first entry drawn wins the first prize, the second the second prize, and so on. Each person may win only one prize; if the same person is drawn more than once, the later draw is void and a further entry is drawn. All decisions of Kraken relating to winner selection are final and binding, subject to applicable law.

6. PRIZES

There are five (5) prizes (each a “Prize” or “Reward”) with an approximate retail value as follows: first prize USD 500; second prize USD 250; third prize USD 150; fourth prize USD 50; fifth prize USD 50. The total value of all Prizes is USD 1,000, regardless of the number of entries or the amount traded.

Prizes are paid in Bitcoin (BTC). The USD value of each Prize is converted to BTC at Kraken’s prevailing rate when the Prize is credited. Prizes are credited to the winner’s Kraken Account within 14 days of all requirements in these Terms being satisfied. The market value of Bitcoin fluctuates; the value of a Prize at the time it is credited or at any later time may be higher or lower than the USD value stated above, and no compensation is payable for any change in value. Prizes are awarded “as is”, are non-transferable and cannot be exchanged for cash or any other alternative. Kraken may substitute a Prize with a Prize of equal or greater value if the Prize cannot be awarded as described for any reason.

7. KRAKEN ACCOUNT AND KYC REQUIREMENT

Invited Customers already hold a Kraken account; no account creation, deposit or purchase is required to enter. To receive a Prize, a participant must, before prize fulfillment, have: (a) a Kraken account in good standing; and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law in the participant’s jurisdiction. KYC verification is required only to receive a Prize, not to enter. A winner who does not satisfy these requirements forfeits the Prize.

8. ELIGIBILITY

To participate you must: (a) be an Invited Customer residing in an area described in Section 2; (b) be at least 18 years old, or the age of majority where you live if higher; (c) agree to these Terms and to the Kraken Terms of Service that apply to you (see Section 13); and (d) not be prohibited from participating under applicable law. Employees, officers, directors and contractors of Sponsor and its affiliates, persons involved in developing, administering or promoting the Promotion (including any promotional partner and its personnel), and members of their households are not eligible. Void where prohibited.

9. DISQUALIFICATION

Kraken may disqualify any participant, void their entries and withhold any Prize if it reasonably believes that the participant: (a) provided false, inaccurate or incomplete information; (b) held or used multiple accounts, made multiple free-entry submissions, or entered on behalf of another person; (c) used bots, scripts or other automated means to enter or to access the free method of entry; (d) engaged in wash trading, self-dealing, coordinated trading or any other activity intended to inflate eligible trade volume or to exploit the Promotion; (e) tampered with the operation or fairness of the Promotion; (f) circumvented geographic restrictions; or (g) otherwise breached these Terms, the Kraken Terms of Service or applicable law.

10. WINNER NOTIFICATION AND PRIZE FULFILLMENT

The selected entrant will be notified using the contact details associated with their Kraken Account within 14 business days of the Draw. The selected entrant must respond and complete any verification, eligibility confirmation and tax documentation requested by Kraken within 14 days of the date of notification. If the selected entrant does not respond within that period, cannot be contacted, is found to be ineligible, declines the Prize, or fails to satisfy any requirement in these Terms, the Prize will be forfeited and Kraken may select an alternate winner by random drawing from the remaining eligible entries. The Prize will be credited within 14 days of all requirements being satisfied. Kraken is not responsible for a failure to notify a winner caused by inaccurate or outdated contact details.

11. CONSENTS AND APPROVALS; DATA AND PRIVACY

By participating you consent to Kraken processing your personal data to administer the Promotion, including to verify eligibility, count entries, conduct the Draw, notify winners and fulfill Prizes. Kraken may share data with service providers that help administer the Promotion, including the provider of the free method of entry. Kraken will use your data for the purposes of the Promotion only, unless you have given separate consent for other purposes. By participating you agree to receive communications that are necessary to administer the Promotion (such as winner notification); this is not consent to marketing communications. 12. DISCLAIMERS

Kraken is not responsible for late, lost, misdirected or incomplete entries; for technical failures, platform outages, network or communication failures; for errors in the recording or reporting of trades; or for any event beyond its reasonable control (force majeure). Nothing in the Promotion is investment advice or a recommendation to buy, sell or hold any cryptoasset.

13. LIMITATION OF LIABILITY, DISPUTES AND GOVERNING LAW

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability (“Claims”) arising from or related to your participation in this Promotion or your receipt or use of any Reward, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

14. TAXES

Winners are solely responsible for all taxes, levies and charges arising from receipt or use of a Prize, and for any reporting obligations arising in their jurisdiction. Kraken does not provide tax advice; participants should consult their own tax adviser. Where required by applicable law, Kraken will collect tax identification information from a winner before the Prize is released and will report the value of the Prize to the relevant tax authority; a winner who is a United States person may be required to provide a completed Form W-9. Kraken may withhold or report amounts as required by applicable law.

15. GENERAL TERMS

Kraken may, at any time, at its sole discretion, modify, suspend or terminate the Promotion, in whole or in part, including if fraud, technical failure or any other cause beyond its control compromises the integrity or proper operation of the Promotion; any change will be published on the Promotion page. To the extent permitted by law, Kraken’s decisions on all matters relating to the Promotion, including whether a trade is a Qualifying Trade, are final. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms and the Kraken Terms of Service that apply to you are the entire agreement regarding the Promotion; in the event of conflict, these Terms prevail as to the Promotion. The Promotion is in no way sponsored, endorsed or administered by, or associated with, Apple Inc., Google LLC, or any social media platform through which a participant may learn of the Promotion.
