By entering this promotion (the “Promotion”) you accept and agree to be bound by these Official Rules (the “Terms”) and by the Kraken Terms of Service applicable to you. 1. Sponsor
The Sponsor of this Promotion is Tulip HoldCo Ltd. (company number 2121376), registered address 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Kraken”, “we”, “us”).
Prizes under this Promotion will be provided by Tulip HoldCo Ltd. or an affiliate of Tulip HoldCo Ltd. acting on its behalf.
2. Eligible Areas
The Promotion is open to eligible individuals residing in the European Economic Area, the United States (excluding Maine, New York, Florida, and Puerto Rico), Canada (excluding Quebec), and other jurisdictions where Kraken services are available. Residents of the United Kingdom, Australia, and Switzerland are not eligible. Void where prohibited.
3. Promotion Period
The Promotion begins on November 1, 2026 at 00:00 UTC and ends on December 1, 2026 at 23:59 UTC (the “Promotion Period”). Entries submitted before or after the Promotion Period will not be eligible. Kraken’s systems are the official timekeeping device for this Promotion.
4. How to Enter
During the Promotion Period, visit the Promotion landing page and complete the entry form, providing your name and email address. Entry is free. No purchase, deposit, trade, or other financial activity is required to enter or to qualify, and no such activity will improve your chance of winning.
Limit of one (1) entry per person. Entries submitted through any automated means, script, bot, or third-party service, and entries submitted using multiple identities or email addresses, will be void. Incomplete, illegible, or corrupted entries will be disqualified. Kraken is not responsible for entries that are lost, late, misdirected, or not received for any reason.
5. Winner Selection
Following the close of the Promotion Period, ten (10) winners will be selected by random draw from among all eligible entries received. The draw will be conducted by Kraken in its sole discretion using a random selection method. Odds of winning depend on the total number of eligible entries received. All decisions of Kraken in relation to winner selection are final and binding.
5A. Skill-Testing Question (Residents of Canada)
Selected entrants who are residents of Canada must, as a condition of receiving the Prize, correctly answer a time-limited mathematical skill-testing question administered by Kraken without assistance of any kind. A selected entrant who fails to answer correctly within the time permitted forfeits the Prize, and Kraken may select an alternate winner by random draw from among the remaining eligible entries.
6. Prize
Each of the ten (10) winners will receive one (1) place on a single thirty (30) minute live group video call with Lukas Podolski, scheduled to take place during the week of December 15–19, 2026 on a date and at a time determined by Kraken (the “Prize”). Winners may submit questions in advance of the call for possible inclusion; inclusion of any question is at Kraken’s sole discretion and is not guaranteed.
Approximate retail value (“ARV”) per Prize: 500 USD. Total ARV of all Prizes: 5,000 USD.
The Prize is non-transferable, may not be assigned, sold, or exchanged, and has no cash alternative. The call will take place at a single scheduled time; no alternative date, time, or individual session will be offered. Kraken reserves the right to substitute a prize of equal or greater value, or to cancel or reschedule the call, where the Prize cannot be awarded as described for reasons outside Kraken’s reasonable control, including the unavailability of Lukas Podolski. All elements of the Prize not expressly stated above are the responsibility of the winner, including internet access and any equipment required to join the call.
7. Kraken Account and KYC Requirement
To receive a Prize, a participant must, before the end of the Promotion Period and before prize fulfilment, have: (a) a Kraken account in good standing; and (b) completed at least Basic KYC verification, plus any additional verification required by Kraken or applicable law in the participant’s jurisdiction. A selected entrant who does not satisfy these requirements within the time specified in the winner notification forfeits the Prize, and Kraken may select an alternate winner.
8. Eligibility
The Promotion is open to individuals who, as at the date of entry: (a) are aged 18 or over, or the age of majority in their jurisdiction of residence if higher; (b) reside in an Eligible Area as set out in Section 2; and (c) are not prohibited from participating under any applicable law. Employees, officers and directors of Kraken and its affiliates, their immediate family members and members of their households, and any person professionally connected with the administration of this Promotion, are not eligible to participate. By entering, you confirm that you meet these eligibility requirements and agree to these Terms and to the Kraken Terms of Service applicable to you.
9. Disqualification
Kraken may disqualify any entrant and withhold or reclaim any Prize where it reasonably believes the entrant has: provided false, incomplete, or misleading information; entered more than once or used multiple accounts or identities; used bots, scripts, or other automated or fraudulent means to enter; tampered with the entry process or the operation of the Promotion; or otherwise breached these Terms or the Kraken Terms of Service. Kraken may also disqualify any entrant whose conduct in connection with the Promotion, including during the Prize call, is abusive, offensive, unlawful, or brings Kraken into disrepute.
10. Winner Notification and Prize Fulfilment
Winners will be notified by email at the address submitted with their entry within five (5) business days of the close of the Promotion Period. Winners must respond and confirm acceptance, satisfy the requirements in Sections 5A (where applicable) and 7, and return any documentation reasonably requested by Kraken, within ten (10) business days of notification. If a selected entrant does not respond within that period, cannot be contacted, declines the Prize, or is found to be ineligible, the Prize will be forfeited and Kraken may select an alternate winner by random draw from among the remaining eligible entries. Joining instructions for the call will be issued to confirmed winners by email. A winner who does not join the call at the scheduled time forfeits the Prize with no alternative or compensation.
11. Consents and Approvals / Data and Privacy
By entering, you consent to Kraken collecting and processing the personal data you submit for the purposes of administering the Promotion, verifying eligibility, and fulfilling the Prize. By accepting a Prize, you further consent to: (a) your first name and country of residence being disclosed to Lukas Podolski and his representatives and to any third-party service provider engaged to host or administer the call, for the sole purpose of prize fulfilment; (b) the call being recorded by or on behalf of Kraken; and (c) subject to the next sentence, Kraken and its affiliates using, reproducing and publishing the recording, and any questions you submit, together with your first name, country of residence and image and voice as captured on the call, in connection with this Promotion and Kraken’s marketing and promotional activities, in all media worldwide, without further notice, approval, or compensation, except where prohibited by applicable law. Where required by applicable law (including for participants in the European Economic Area), consent to publication of the recording, your questions, and your name, image and voice is separate from participation and will be sought at winner notification; a winner who declines still receives the Prize and will be excluded from published material. Kraken processes personal data in accordance with its Privacy Notice, available at /legal/privacy. Where you have a right under applicable law to withdraw a consent given above, you may do so by contacting Kraken. Withdrawal of consent to publication does not affect your entitlement to the Prize, but withdrawal of consent to the processing needed to fulfil the Prize may prevent Kraken from fulfilling it.
12. Disclaimers
Kraken is not responsible for any failure, delay, interruption, or error in the operation of the Promotion, the entry form, the landing page, the Kraken platform, or the video call platform, including any network, hardware, software, or connectivity failure, whether or not attributable to Kraken. Kraken is not liable for any failure to perform, or delay in performing, its obligations under these Terms where that failure or delay results from events outside its reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, industrial action, failure of telecommunications or internet infrastructure, governmental action, or the illness or unavailability of any individual. If the Promotion cannot be conducted as planned for any such reason, or for any reason that in Kraken’s reasonable opinion corrupts or impairs the administration, security, fairness, or proper conduct of the Promotion, Kraken reserves the right to cancel, suspend, modify, or terminate the Promotion in whole or in part.
13. Limitation of Liability, Disputes, and Governing Law
By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability (“Claims”) arising from or related to your participation in this Promotion or your receipt or use of any Prize, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.
TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE; (3) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you: EEA participants: /legal/eea-terms (including Section 15). Canadian participants: /legal/ca-terms. All other participants: /legal/global-terms. By participating, you agree to those provisions as they apply to your relationship with Kraken. 14. Taxes
Winners are solely responsible for all taxes, levies, and charges arising in connection with receipt or use of a Prize, and for any reporting of the Prize to the relevant tax authority. Where required by applicable law, Kraken may request tax documentation from a winner before fulfilling a Prize, and may withhold the Prize until that documentation is provided. Kraken does not provide tax advice. Winners should consult their own tax adviser.
15. General Terms
Kraken reserves the right, at its sole discretion, to modify, suspend, cancel, or terminate this Promotion or these Terms at any time, including where required to do so by applicable law or by a regulator. Any changes will take effect when published on the Promotion page. All decisions of Kraken in connection with this Promotion are final and binding. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect. Kraken’s failure to enforce any provision of these Terms does not constitute a waiver of that provision. These Terms are published in English.
16. Non-Association
This Promotion is not sponsored, endorsed, administered by, or associated with any club, league, federation, or governing body with which Lukas Podolski is or has been associated. All third-party names and marks are the property of their respective owners.
