BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT. READ THEM CAREFULLY BEFORE ENTERING.

1. Sponsor

Trading and exchange services in connection with this Promotion are provided by the applicable Kraken operating entity for your region: Payward Interactive, Inc. (United States); Payward Europe Ltd. (EEA); and Payward Trading Ltd. (Canada and other eligible jurisdictions). References to 'the Kraken platform' in these Official Rules mean the applicable entity for your jurisdiction

2. Eligible Areas

The Promotion is open to eligible customers residing in the European Economic Area ("EEA"), the United States (excluding Maine, New York, and Florida), Canada (excluding Quebec), and other jurisdictions where Kraken services are available.

Residents of the United Kingdom are not eligible to participate.

Void where prohibited.

3. Promotion Period

The Promotion begins on 3 June 2026 at 14:00 UTC and ends on 10 June 2026 at 14:00 UTC (the "Promotion Period"). Entries submitted outside the Promotion Period will not be counted. Sponsor's computer is the official timekeeping device for this Promotion. Sponsor reserves the right to extend, shorten, or cancel the Promotion Period at its sole discretion.

4. How to Participate / Qualifying Activity

To earn entries, a participant must execute one or more trades on the Kraken platform (Consumer or Pro app) during the Promotion Period on the following eligible products:

  • Spot trading
  • Margin trading
  • PTL (Pro Trading Limit) trading

Each $1.00 USD (or USD-equivalent) in trade volume executed during the Promotion Period earns one (1) entry. Trade volume is measured as the USD-equivalent notional value of executed trades. Stablecoin-to-stablecoin pairs are excluded from entry calculation. Maximum entries per participant: 1,000,000.

Free Alternative Method of Entry (AMOE)

Limit: Ten  (10) entries per person.

5. Reward

The following prizes are available:

  • 1st Place (1 winner): 10 ETH
  • 2nd–6th Place (5 winners): 1 ETH each
  • 7th–1,006th Place (1,000 winners): USD $5.00 in ETH each

ETH prize values are based on the ETH/USD spot price on the Kraken platform at the time of prize distribution.

6. Eligibility to Participate

To be eligible to participate, each entrant must:

  • Be a legal resident of an Eligible Area as defined in Section 2.
  • Be at least 18 years of age (or the age of majority in their jurisdiction of residence, whichever is greater) at the time of entry.
  • Comply with the Kraken Terms of Service and all applicable platform policies.
  • Have one Kraken account only. Multiple accounts per person are not permitted.

6A. Canadian Skill-Testing Question

Any Canadian resident selected as a potential winner must correctly answer, without assistance, a time-limited mathematical skill-testing question before being declared an eligible winner and receiving any prize. The skill-testing question will be administered at the time of winner notification. Failure to correctly answer the skill-testing question will result in forfeiture of the prize and selection of an alternate winner.

7. Disqualification

Entries may be disqualified, and participants removed from the Promotion, if they:

  • Engage in wash trading, self-funding, self-dealing, or any manipulative trading activity.
  • Use a VPN or other means to circumvent geographic restrictions.
  • Register or operate more than one Kraken account.
  • Provide false or misleading information in connection with the Promotion.
  • Violate the Kraken Terms of Service or these Official Rules.

Sponsor reserves the right to disqualify any participant at its sole discretion and to require the return of any prize distributed in error or based on fraudulent activity.

8. Reward Distribution

To receive a prize, a winner must, before prize fulfilment, have: (a) a Kraken Consumer or Pro account in good standing; and (b) completed at least Intermediate KYC verification, plus any additional verification required by Kraken or applicable law. If these requirements are not met at the time of distribution, the prize may be forfeited.

Winners will be selected by random draw from all eligible entries accumulated during the Promotion Period. The more entries a participant has earned, the greater their chances of being selected. A total of 1,006 winners will be selected and will receive prizes as described in Section 5.

Prize distribution will occur within 30 days of the close of the Promotion Period. ETH prizes will be credited directly to the winner's Kraken account. Winners may be required to complete additional verification steps before prizes are distributed. Prizes are non-transferable and may not be substituted for cash or other assets except at Sponsor's discretion.

9. Consents and Approvals

By participating, entrants consent to the use of their name, username, and general location for promotional purposes in connection with this Promotion, without additional compensation, except where prohibited by law. Entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to this Promotion.

10. Disclaimers

This Promotion is in no way sponsored, endorsed, administered by, or associated with any third-party platform or social media network. In the event of conflict between these Official Rules and any marketing materials, these Official Rules shall control. Sponsor is not responsible for lost, late, misdirected, or incomplete entries, or for technical failures of any kind. Sponsor reserves the right to cancel, suspend, or modify the Promotion if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion.

Although the term 'stablecoin' is commonly used, there is no guarantee that the asset will maintain a stable value in relation to the value of the reference asset when traded on secondary markets or that the reserve of assets, if there is one, will be adequate to satisfy all redemptions.

11. Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") that may arise from your acceptance, possession, and/or use of any Prize or your participation in this Promotion, regardless of whether such Claims exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

12. Taxes

All federal, state, provincial, and local taxes on prizes are the sole responsibility of the winner. Winners may be required to complete and submit applicable tax forms before prizes are distributed. Sponsor will report prize values to relevant tax authorities as required by applicable law.

13. General Terms

These Official Rules constitute the entire agreement between the participant and Sponsor with respect to this Promotion. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect. Sponsor's failure to enforce any term shall not constitute a waiver of that term.
