Official Terms and Conditions
BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE OFFICIAL TERMS AND CONDITIONS (“TERMS”) AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A BINDING CONTRACT. PLEASE READ THEM CAREFULLY BEFORE PARTICIPATING.
A DEPOSIT AND QUALIFYING TRADE ARE REQUIRED TO RECEIVE THE REWARD.
1. Sponsor
This promotion (“Promotion”) is sponsored by Tulip HoldCo Ltd., located at 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Sponsor,” “Kraken,” “we,” “us,” or “our”).
2. Eligible Area
The Promotion is open only to eligible natural persons who are legal residents of Ukraine, excluding residents of Crimea and any territories subject to applicable sanctions restrictions or where the Promotion is prohibited by applicable law.
Participants must be at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is greater.
Void where prohibited or restricted by law.
3. Promotion Period
The Promotion begins at 00:00 EEST on June 6, 2026 and ends at 23:59 EEST on June 20, 2026 (“Promotion Period”).
Kraken reserves the right to modify, suspend, or terminate the Promotion at any time in its sole discretion.
4. How to Participate
To qualify for the Promotion, an eligible participant must complete all of the following steps during the Promotion Period:
Create a new Kraken account;
Successfully complete all required identity verification procedures (KYC/AML);
Fund the account with more than €10 EUR using a bank card; and
Complete at least USD $25 equivalent in cumulative spot trading volume on Kraken Pro.
Only spot trading volume qualifies toward the Promotion requirement. The following activities do not qualify and may result in disqualification:
futures trading;
margin trading;
staking transactions;
stablecoin-to-stablecoin conversions;
off-platform transfers;
wash trading;
self-dealing;
manipulative trading activity;
abuse of the Promotion;
creation of multiple accounts; or
any fraudulent, deceptive, abusive, or non-bona fide activity, as determined by Kraken in its sole discretion.
Limit one (1) reward per eligible participant and per household.
5. Reward
Eligible participants who satisfy all Promotion requirements while rewards remain available will receive a reward denominated in GLDx tokens with an approximate value of 1,000 UAH at the time of reward distribution (“Reward”).
GLDx is an xStocks product. xStocks are made available through Payward Digital Solutions Ltd. (“PDSL”), a company licensed to conduct digital asset business by the Bermuda Monetary Authority. xStocks are issued by Backed Assets (JE) Limited. xStocks represent economic exposure to an underlying reference asset and do not constitute ownership of, or entitlement to, the underlying asset, any shares, dividends, or voting rights. xStocks are not registered under the U.S. Securities Act and are not available to U.S. persons. The approximate quantity of GLDx distributed may fluctuate based on prevailing market prices and foreign exchange rates at the time the Reward is credited.
The Reward:
is non-transferable;
may not be substituted or redeemed for cash;
may be withheld, substituted, or cancelled by Kraken in its sole discretion where permitted by law; and
will be credited directly to the participant’s Kraken account.
Rewards are limited and available on a first-qualified, first-rewarded basis while the allocated Promotion budget remains available. Completion of the qualification steps does not guarantee receipt of a Reward if the Promotion budget has already been exhausted.
6. Reward Distribution and Restrictions
Eligible Rewards will be credited within thirty (30) days after Kraken confirms compliance with these Terms and all applicable requirements.
Kraken may request additional information or documentation before issuing any Reward.
The Reward will be subject to a fourteen (14) day withdrawal restriction period beginning on the date the Reward is credited to the participant’s account. During this restriction period, the Reward may remain available for supported in-platform functionality as determined by Kraken, but may not be withdrawn externally until the restriction period expires.
If a participant’s account is closed, suspended, restricted, or determined to be non-compliant before Reward issuance or during the restriction period, Kraken may revoke, cancel, claw back, or withhold the Reward in its sole discretion.
7. Eligibility
You are eligible to participate only if, throughout the Promotion Period:
you reside in an Eligible Area;
you comply with the Kraken Terms of Service and these Terms;
your account remains verified and in good standing; and
you are not otherwise prohibited from participating under applicable law.
By participating, you represent and warrant that you satisfy all eligibility requirements.
8. Disqualification
Kraken reserves the right to disqualify any participant or revoke any Reward if Kraken determines, in its sole discretion, that the participant has:
violated these Terms or the Kraken Terms of Service;
engaged in fraudulent, abusive, manipulative, deceptive, or unlawful activity;
attempted to circumvent Promotion limits or controls;
created multiple accounts;
provided false, incomplete, or misleading information; or
otherwise acted inconsistently with the intended operation of the Promotion.
9. Taxes
Participants are solely responsible for any taxes, duties, reporting obligations, or other governmental fees associated with participation in the Promotion or receipt of any Reward.
Kraken does not provide tax advice.
10. Privacy and Consents
By participating in the Promotion, you consent to Kraken’s collection, processing, use, and sharing of your personal information for the purposes of administering the Promotion, complying with legal and regulatory obligations, preventing fraud, and enforcing these Terms.
Personal information collected in connection with the Promotion will be processed in accordance with Kraken’s Privacy Notice available at: https://kraken.com/legal/privacy
Communications strictly necessary for administration of the Promotion and your Kraken account will be sent in accordance with the Kraken Terms of Service. Consent to receive marketing communications from Kraken is separate from participation in this Promotion and will be sought through a separate mechanism. Participation in this Promotion does not constitute consent to receive marketing communications.
11. Disclaimers
Kraken is not responsible for:
interrupted or unavailable internet access;
technical malfunctions;
delayed or failed transactions;
platform outages;
telecommunications failures;
unauthorized intervention;
human error; or
any other causes beyond Kraken’s reasonable control.
Kraken and its affiliates are not liable for any failure or delay resulting from acts of God, natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, governmental actions, sanctions, market disruptions, or other force majeure events.
Crypto assets and tokenized assets involve risk and may fluctuate in value. Kraken does not guarantee any profit, return, or investment performance.
Nothing in these Terms constitutes investment advice, financial advice, or a recommendation to buy, sell, hold, or trade any asset.
12. Limitation of Liability, Disputes, and Governing Law
By participating in this Promotion, you agree to and hereby release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability (“Claims”) that may arise from your acceptance, possession, and/or use of any Reward or your participation in this Promotion, regardless of whether such Claims exist at the time of entry or arise at any time thereafter.
TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS’ FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.
All claims shall be resolved individually. Class actions and representative actions are waived.
Dispute resolution and governing law are governed by the Kraken Terms of Service applicable to you, available at https://www.kraken.com/legal/global-terms, including all dispute resolution and governing law provisions contained therein.

13. General Terms
Kraken reserves the right, in its sole discretion, to:
modify, suspend, terminate, or cancel the Promotion;
amend these Terms;
substitute Rewards;
interpret these Terms; and
determine eligibility.
All decisions made by Kraken regarding the Promotion are final and binding.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Kraken to enforce any provision of these Terms shall not constitute a waiver of that provision.
In the event of any inconsistency between marketing materials and these Terms, these Terms shall control.
