The Kraken Referral Programs

BY PARTICIPATING IN ANY KRAKEN REFERRAL PROGRAM, YOU AGREE TO THESE TERMS, THE PLAN-SPECIFIC TERMS AS MADE AVAILABLE HEREIN AND/OR THE KRAKEN PLATFORM, AND THE KRAKEN.COM TERMS OF SERVICE, WHICH EACH FORM A CONTRACT (COLLECTIVELY, THE “KRAKEN TERMS OF SERVICE”). READ THEM CAREFULLY BEFORE PARTICIPATING.

NO PURCHASE, PAYMENT, OR ACCOUNT FUNDING IS REQUIRED TO OPEN A KRAKEN ACCOUNT. CERTAIN REFERRAL OR INCENTIVE PROGRAMS MAY REQUIRE FUNDING, TRADING, OR OTHER QUALIFYING ACTIVITY TO EARN A REWARD. SUCH REQUIREMENTS APPLY ONLY TO THOSE SPECIFIC PROGRAMS AND DO NOT APPLY TO GENERAL ACCOUNT CREATION OR PARTICIPATION IN OTHER KRAKEN PROMOTIONS.

This Promotion (“Promotion”) is sponsored by Payward Trading Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, VG1110, British Virgin Islands.

Eligible Areas

This Promotion is open to eligible Kraken customers residing in jurisdictions where referral promotions are permitted by law or regulation (“Eligible Area”).

How to Participate

Kraken offers different types of referral plans. To qualify for a referral reward under any referral plan, participants must meet all requirements outlined below and in the applicable plan-specific terms. Together with the plan-specific terms, these terms are referred to as the “Rules”. Plan-specific terms will describe the particular conditions, criteria, rewards, timing, and other details applicable to a given referral plan, and may vary from plan to plan.

Referrer Requirements

A Referrer must:

Hold a verified and unrestricted Kraken account in an Eligible Area;

Share a valid referral link during the applicable Referral Window (as defined in the plan-specific terms);

Comply with all Kraken Terms of Service and these Rules.

Referee (New User) Requirements

A new user (“Referee”) must:

Not have an existing Kraken account or have previously held a Kraken account;

Complete account creation and applicable KYC verification and other onboarding requirements in accordance with the Kraken Terms of Service;

Hold an identity document issued by the same country as the country selected during account sign-up ("Document-Country Match Requirement");

Complete relevant funding, trading, and/or other requirements for the applicable plan using the eligible methods made available by Kraken which may vary by plan and over time.

All criteria must be completed within the applicable Criteria Completion Window.

Limit of one (1) reward per Referee unless otherwise stated.

“Criteria Completion Window” means the period specified in the applicable plan-specific terms within which a Referee must complete all qualifying criteria (such as account creation, verification, funding, or trading) to be eligible for a reward under that referral plan.

"Trading” means buying, selling, or converting via PTL buy/sell/convert transactions, or on Spot/Margin/Futures. The following types of trading are not eligible: trades (a) between fiat and stablecoins; (b) within stablecoins; (c) of Bundles; (d) of equities; and/or (e) as may be determined or updated by Kraken on an incentive by incentive program basis over time.

Reward Determination

This is an incentive promotion. Subject to the conditions set out in the Rules, each eligible participant who completes all qualifying criteria in accordance with the Rules will receive the specified reward.

Reward

Rewards vary by referral plan and may include cryptocurrency or other incentives as specified in plan-specific terms.

Unless expressly stated otherwise:

Rewards are non-transferable;

Rewards are non-exchangeable;

Rewards may not be redeemed for cash.

Reward Issuance

Rewards, if any, will be credited only after all qualifying criteria have been met, verified, and approved by Kraken. Rewards are not vested, earned, or guaranteed until actually credited to the participant’s Kraken account. Rewards are calculated when you complete the qualifying criteria, but may be credited later after verification. If a Reward is paid in cryptocurrency, its fiat-equivalent value may change between calculation and crediting due to market volatility. Further, Kraken may withhold, delay, cancel, or reverse any reward if it determines, in its sole discretion, that the participant is ineligible or has engaged in conduct prohibited by these Rules or the Kraken.com Terms of Service. Kraken may request additional verification documentation.

Accounts must be active, verified, and in good standing at the time of issuance. Rewards will not be paid, or may be revoked, if the Referee reverses a qualifying criteria after taking it, for example if:

the Referee closes their Kraken within (one month) of opening;

Kraken closes or restricts the Referee’s Kraken account in accordance with the Kraken Terms of Service.

the Referee does not satisfy the Document-Country Match Requirement at the time of reward determination;

Eligibility to Participate in the Promotion

You are eligible if, at the time of participation and throughout the Promotion:

You reside in an Eligible Area;

You agree to the Kraken.com Terms of Service;

You comply with these Rules and applicable plan terms;

You participate in the Promotion in good faith and for its intended purpose, and not for the primary purpose of exploiting, gaming, abusing or manipulating the Promotion or Kraken’s systems to obtain rewards.

Disqualification

Completion of qualifying criteria does not guarantee a reward. All eligibility and reward determinations are subject to Kraken’s review and verification. Kraken may deny, withhold or revoke any reward if it reasonably determines that a participant has engaged in exploitative, abusive, manipulative, fraudulent, or bad-faith conduct, even if the stated qualifying criteria have otherwise been met. Kraken’s determinations are final.

Without limiting the foregoing, Kraken may disqualify participants for:

Violations of these Rules or Kraken Terms of Service;

Fraud, referral abuse, self-dealing, wash trading, or manipulative behavior;

Creation of multiple or fake accounts;

Use of VPNs to circumvent geographic restrictions;

Providing false or misleading information.

Notification of Reward

Rewards will be credited directly to the participant’s Kraken account. Kraken may withhold or cancel a reward if the account is closed, suspended, or ineligible at the time of issuance.

Consents and Approvals

By participating, you:

Consent to Kraken’s use of personal information for administration of the Promotion and compliance with law;

Consent to receiving communications, including marketing;

Acknowledge that information may be disclosed to third parties as required by law or tax rules.

Disclaimers

Kraken is not responsible for:

Internet interruptions or technical failures;

Inability to access the platform;

Force majeure events, including regulatory changes or acts of God.

Limitation of Liability, Disputes, and Governing Law

By participating in this Promotion, you agree to and hereby release and hold harmless Payward Trading Ltd. and its affiliates, officers, directors, employees, and agents (collectively, "Kraken") from any damage, injury, death, loss, claim, action, demand, or other liability ("Claims") that may arise from your acceptance, possession, and/or use of any reward or your participation in this Promotion, regardless of whether such Claims exist at the time of entry or arise at any time thereafter.

TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, IF ANY, NOT TO EXCEED TWENTY-FIVE US DOLLARS (USD $25.00). ATTORNEYS' FEES ARE NOT RECOVERABLE; (2) YOU WAIVE ALL RIGHTS TO SEEK PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR LOST PROFITS; AND (3) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES ONLY.

Taxes

Participants are solely responsible for any taxes arising from rewards. Kraken does not provide tax advice.

General Rules

Kraken may modify, suspend, or cancel any Referral Program at any time.

Failure to enforce any provision does not constitute a waiver.

If any provision is deemed invalid, the remainder remains in effect.

These Terms govern in the event of conflict with marketing materials.

The Milestone Referral Plan

BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO THESE PLAN-SPECIFIC TERMS AND THE KRAKEN TERMS OF SERVICE, WHICH ARE INCLUSIVE OF THE GENERAL KRAKEN REFERRAL TERMS AND CONDITIONS (together, the “RULES”).

How to Participate

To qualify for a Milestone Reward, participants must meet the requirements below.

Referrer Requirements

Referrers must adhere to the Referrer Requirements as outlined in the Official Terms and Conditions above.

Referee (New User) Requirements

Referees must adhere to the Referee Requirements as outlined in the Official Terms and Conditions above.

Reward determination Criteria

This is an incentive promotion. Referrers and referees who successfully complete a milestone will receive the corresponding reward.

Reward

Milestone rewards are issued upon completion of predefined referral milestones as provided where made available via the Kraken platform. Rewards are non-transferable and non-exchangeable.

Reward Issuance

Rewards, if any, will be credited only after all qualifying criteria have been met, verified, and approved by Kraken. Rewards are not vested, earned, or guaranteed until actually credited to the participant’s Kraken account. Kraken may withhold, delay, cancel, or reverse any reward if it determines, in its sole discretion, that the participant is ineligible or has engaged in conduct prohibited by these Rules, General Kraken Referral Terms, or the Kraken Terms of Service. Rewards will be credited after milestone verification.

Accounts must be active and in good standing.

Kraken may request additional documentation.

Eligibility to Participate in the Promotion

As set forth in the General Kraken Referral Terms and Conditions.

Disqualification

Kraken may disqualify participants for violations of these Rules or prohibited conduct.

The Lootbox Referral Program

Promotion

“Promotion” means the specific Lootbox referral offer made available by Kraken from time to time, as further described in the applicable referral link, landing page, email, in-app notification, or other promotional materials (the “Promotion Details”).

How to Participate

To qualify for a Lootbox Reward, participants must meet the requirements below during the Criteria Completion Window.

Referrer Requirements

Referrers must adhere to the Referrer Requirements as outlined in the Official Terms and Conditions above.

Referee (New User) Requirements

Referees must adhere to the Referee Requirements as outlined in the Official Terms and Conditions above

Reward

Each Lootbox contains a randomized cryptocurrency reward.

Rewards are non-transferable, non-exchangeable, and not redeemable for cash.

Reward Issuance

Kraken may withhold, delay, cancel, or reverse any reward if it determines, in its sole discretion, that the participant is ineligible or has engaged in conduct prohibited by these Rules, General Kraken Referral Terms, or the Kraken.com Terms of Service. Rewards will be credited after verification of eligibility.

Accounts must be active and in good standing at the time of issuance. Kraken may substitute a reward where required by law.

The Revenue Share Referral Plan

Promotion

"Promotion" means the specific Revenue Share referral offer made available by Kraken from time to time, as further described in the applicable referral link, landing page, email, in-app notification, or other promotional materials (the "Promotion Details").

How to Participate

To qualify for a Revenue Share Reward, participants must meet the requirements below during the Criteria Completion Window.

Referrer Requirements

Referrers must adhere to the Referrer Requirements as outlined in the Official Terms and Conditions above.

Referee (New User) Requirements

Referees must adhere to the Referee Requirements as outlined in the Official Terms and Conditions above.

Reward Determination Criteria

This is an incentive promotion. Referrers who successfully refer an eligible Referee will receive a Revenue Share Reward based on the net trading fees generated by that Referee during the applicable Revenue Share Period, as specified in the Promotion Details.

Reward

The Referrer will receive a Revenue Share Reward as specified in the Promotion Details. Revenue Share Rewards are calculated as a percentage of eligible net trading fees generated by the Referee and are credited to the Referrer's Kraken account at the frequency specified in the Promotion Details.

A Referee may or may not receive a reward under this Promotion. Where a Referee reward is offered, it will be specified in the Promotion Details and may take the form of a revenue share cashback on the Referee's own eligible trading fees, or a fixed reward such as a lootbox or milestone reward.

Rewards are non-transferable and non-exchangeable.

Reward Issuance

Kraken may withhold, delay, cancel, or reverse any reward if it determines, in its sole discretion, that the participant is ineligible or has engaged in conduct prohibited by these Rules, General Kraken Referral Terms, or the Kraken Terms of Service. Rewards will be credited after verification of eligibility.

Accounts must be active and in good standing at the time of issuance.

Kraken may request additional documentation.

Eligibility to Participate in the Promotion

As set forth in the General Kraken Referral Terms and Conditions.

Disqualification

Kraken may disqualify participants for violations of these Rules or prohibited conduct.

General

Kraken reserves the right, in its sole discretion, to modify, suspend, or cancel the Promotion (or any part thereof) at any time, including by substituting any reward.

Consents, Disclaimers, Limitation of Liability, Taxes, and Governing Law

All such provisions apply as set forth and defined in the Kraken Referral Plans Terms and Conditions.

The Krak Card Referral Program

Promotion

"Promotion" means the specific Krak Card referral offer made available by Kraken from time to time, as further described in the applicable referral link, landing page, email, in-app notification, or other promotional materials (the "Promotion Details"). The Promotion Details will specify the applicable reward(s), qualifying criteria thresholds, Criteria Completion Window, any Vault Hold Period, any Reward Withdrawal Hold Period, and any excluded Merchant Category Codes.

Eligible Areas

This Promotion is open to eligible Krak account holders residing in the European Economic Area ("EEA") and the United Kingdom ("UK") where the Promotion is made available by Kraken. Kraken may extend or restrict availability to additional jurisdictions at any time. Where different qualifying criteria apply by region, the applicable requirements will be specified in the Promotion Details.

How to Participate

To qualify for a Krak Card Referral Reward, participants must meet all requirements set out below and in the Promotion Details during the Criteria Completion Window.

Referrer Requirements

Referrers must adhere to the Referrer Requirements as outlined in the Official Terms and Conditions above and must hold an active Krak account in an Eligible Area.

Referee (New User) Requirements

Referees must adhere to the Referee Requirements as outlined in the Official Terms and Conditions above and must additionally:

Order a physical Krak Card;
Complete the minimum number of Qualifying Card Transactions at the minimum individual or aggregate transaction value, as specified in the Promotion Details; and
Where specified in the Promotion Details as applicable to their jurisdiction: deposit at least the minimum amount specified into a Krak Vault and hold it continuously for the duration of the Vault Hold Period specified in the Promotion Details.

All criteria must be completed within the Criteria Completion Window.

Qualifying Card Transactions

"Qualifying Card Transaction" means a card transaction completed using the Referee's Krak Card, excluding:

Transactions classified under the following Merchant Category Codes (MCCs):

Cash and money equivalents — cash withdrawals (ATM and manual), wire transfers, money orders, and quasi-cash transactions.

Gift cards and prepaid products — purchases at gift card shops or any transaction identified as a gift card or prepaid product proxy.

Financial products — securities, insurance premiums, insurance sales, and money transfer services (including Mastercard Moneysend, domestic and international).

Gambling — betting, casinos, lotteries, slot machines, and video gaming establishments.

Government payments — tax payments, fines, and other government services.

Transactions that are reversed, refunded, or otherwise cancelled; and
Any transaction otherwise designated as ineligible in the Promotion Details.

The list of excluded MCCs may be updated from time to time.

Vault Hold Requirement

Where specified in the Promotion Details, a Vault Hold Requirement applies. Such Referees must deposit a minimum amount into a Krak Vault and hold it continuously for the Vault Hold Period specified in the Promotion Details. If the Promotion expires before a Referee has satisfied the applicable Vault Hold Period, the Vault Hold Requirement will be deemed not met and no reward will be issued in respect of that requirement. Where the Promotion Details do not specify a Vault Hold Requirement, no such requirement applies.

Reward

Each eligible Referrer and/or Referee will receive the reward specified in the Promotion Details. Rewards may include cryptocurrency or other incentives. Unless expressly stated otherwise:

Rewards are non-transferable;
Rewards are non-exchangeable;
Rewards may not be redeemed for cash.

Reward Withdrawal Hold

Where specified in the Promotion Details, a Reward Withdrawal Hold Period may apply. During the Reward Withdrawal Hold Period, a participant who has received a reward will not be able to withdraw that reward from their Krak account. The Reward Withdrawal Hold Period, if any, will commence upon credit of the reward to the participant's account.

Reward Issuance

Rewards, if any, will be credited only after all qualifying criteria have been met, verified, and approved by Kraken. Rewards are not vested, earned, or guaranteed until actually credited to the participant's Krak account. Kraken may withhold, delay, cancel, or reverse any reward if it determines, in its sole discretion, that the participant is ineligible or has engaged in conduct prohibited by these Rules, the General Kraken Referral Terms, or the Kraken Terms of Service. Accounts must be active, verified, and in good standing at the time of issuance. Kraken may request additional verification documentation.

Eligibility to Participate in the Promotion

As set forth in the General Kraken Referral Terms and Conditions.

Disqualification

Kraken may disqualify participants for violations of these Rules or prohibited conduct as set out in the General Kraken Referral Terms and Conditions.
